Terms and Conditions

Delivery Location: All goods and services under this Purchase Order shall be delivered to the designated secondary school facilities across the Province of Buenos Aires, Argentina. The primary coordination center is located at the Ministry of Education headquarters in Buenos Aires, Argentina. The Teacher Secondary program offices will provide specific delivery addresses for each district.
Delivery Timeline: The Supplier shall complete all deliveries and service installations within 90 (ninety) calendar days from the date of acceptance of this Purchase Order. The Teacher Secondary program requires all materials to be in place before the commencement of the second semester of the 2025 academic year in Buenos Aires.
Payment Terms: Payment shall be made in three (3) equal installments: 40% upon delivery and acceptance of all physical goods, 35% upon completion of the Teacher Secondary professional development training program, and 25% upon final acceptance and certification of all services rendered. Payment shall be processed via bank transfer to the account designated by the Supplier in accordance with Argentine banking regulations.
Warranty: All equipment and materials procured under this Purchase Order for the Teacher Secondary program shall carry a minimum warranty period of 36 (thirty-six) months from the date of installation. The Supplier shall provide on-site technical support in Buenos Aires and all districts of the Province of Buenos Aires, Argentina, during the warranty period.
Compliance: The Supplier warrants that all goods and services comply with the applicable Argentine national standards (IRAM), the specific requirements of the Teacher Secondary program as established by the Ministry of Education of the Province of Buenos Aires, and all relevant Argentine labor, environmental, and safety regulations.
Intellectual Property: All curriculum materials, software, and educational content developed specifically for the Teacher Secondary program under this Purchase Order shall be the exclusive property of the Province of Buenos Aires, Argentina. The Supplier grants an irrevocable, perpetual license for educational use across all secondary schools in Buenos Aires.
Penalties: In the event of delayed delivery, the Supplier shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%. Delays exceeding 30 (thirty) days shall entitle the Buyer to terminate this Purchase Order without further obligation.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the civil and commercial codes applicable in the Province of Buenos Aires, Argentina. Any disputes shall be resolved through the competent courts of Buenos Aires, Argentina.
Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Teacher Secondary program details, and any proprietary information exchanged during the execution of this contract, in compliance with Argentine data protection law (Ley 25.326).
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting Buenos Aires, Argentina, as defined under Argentine law.

Acceptance and Authorization

This Purchase Order for the Teacher Secondary program in Argentina Buenos Aires is hereby authorized and approved by the undersigned representatives of both parties.
