- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada Vancouver applicable to educational procurement. Any disputes arising from this Purchase Order relating to the Teacher Secondary program shall be resolved through mediation in Vancouver, British Columbia, Canada.
- Delivery and Acceptance: All physical goods listed in this Purchase Order must be delivered to the designated Canada Vancouver school facilities no later than the dates specified in the line items. The Vancouver Secondary Education Board reserves the right to inspect and reject any Teacher Secondary materials that do not conform to the specifications outlined in this document. Rejection must be communicated within five (5) business days of delivery.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice and confirmed acceptance of goods or services. All payments shall be processed in Canadian Dollars (CAD) via electronic funds transfer to the vendor account designated in Canada Vancouver. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act.
- Warranty and Support: The vendor warrants that all Teacher Secondary educational materials, technology, and services provided under this Purchase Order shall be free from defects in materials and workmanship for a period of two (2) years from the date of delivery or completion of service. The vendor shall provide ongoing technical support for all digital systems deployed in the Canada Vancouver Teacher Secondary program.
- Compliance with Canadian Standards: All goods and services procured under this Purchase Order must comply with applicable Canadian safety standards, the Canada Vancouver Secondary Learning Standards, and the requirements of the British Columbia Education Act. The vendor confirms that all Teacher Secondary content has been reviewed for cultural appropriateness and alignment with the Canada Vancouver multicultural educational framework.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order for the Teacher Secondary program. Student data and personnel records associated with Canada Vancouver secondary schools shall be handled in full compliance with the British Columbia Freedom of Information and Protection of Privacy Act (FIPPA).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice.
