All goods and services under this Purchase Order shall be delivered to the designated secondary school locations within the China Beijing municipal area. The supplier, Beijing Huaxue Educational Resources Co., Ltd., is responsible for all logistics, installation, and initial calibration of equipment. The Teacher Secondary program requires phased delivery: Phase 1 (Items 01, 04, 06) by July 15, 2025; Phase 2 (Items 02, 03, 08) by August 20, 2025; and Phase 3 (Items 05, 07) by September 15, 2025. All deliveries must comply with China Beijing municipal transportation regulations and the Beijing Municipal Education Bureau's procurement compliance guidelines.
6. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Beijing Municipal Education Bureau (Buyer) and Beijing Huaxue Educational Resources Co., Ltd. (Seller) for the procurement of Teacher Secondary program resources within China Beijing.
- All items must meet or exceed the quality standards established by the China Beijing Secondary Education Quality Assurance Board. Non-conforming items will be rejected at the Buyer's expense for return and replacement.
- The Seller warrants that all Teacher Secondary materials are free from intellectual property infringement and comply with the Copyright Law of the People's Republic of China.
- Payment shall be made via bank transfer to the account specified in Section 2 within 45 calendar days of receipt of a valid tax invoice (fapiao) issued in accordance with China Beijing tax regulations.
- A retention of 10% of the total Purchase Order value shall be withheld until final acceptance of all Teacher Secondary deliverables, confirmed in writing by the Director of Secondary Teacher Programs.
- The Seller shall provide a minimum 3-year warranty on all hardware items and a 1-year warranty on all software and digital platform subscriptions related to the Teacher Secondary program.
- Any disputes arising from this Purchase Order shall be resolved through arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, China Beijing.
- This Purchase Order is governed by the laws of the People's Republic of China and the specific procurement regulations of the China Beijing municipal government.
- The Seller shall maintain full confidentiality regarding the Teacher Secondary program data, student information, and internal curriculum strategies of the Beijing Municipal Education Bureau.
- Force majeure events, including but not limited to natural disasters affecting the China Beijing region, shall be addressed per Article 180 of the Civil Code of the People's Republic of China.
