All goods and services under this Purchase Order shall be delivered and made available at the designated secondary school locations throughout China Shanghai, including but not limited to the Huangpu, Pudong, Xuhui, Jing'an, and Minhang districts. The Teacher Secondary program materials must be fully deployed no later than August 15, 2025, to align with the commencement of the 2025–2026 academic year in Shanghai secondary schools.

- Payment Method: Bank transfer to the supplier's designated account in China Shanghai. All transactions shall be conducted in Chinese Yuan (CNY) in compliance with the People's Bank of China regulations.
- Payment Schedule: 30% advance payment upon Purchase Order acceptance (CNY 1,655,506.50); 50% upon delivery and inspection of all physical goods (CNY 2,759,177.50); 20% final payment upon successful completion of the Teacher Secondary Workshop Series and full program acceptance (CNY 1,103,671.00).
- Payment Due Date: Each installment is due within 30 calendar days of the corresponding invoice date.
- Late Payment Penalty: A penalty of 0.05% per day shall apply to any overdue amount, in accordance with Chinese commercial contract law.
