- Delivery: All goods specified in this Purchase Order shall be delivered to the designated secondary education facilities in Kinshasa, DR Congo, at the addresses provided by the Buyer. The Supplier bears all transportation, insurance, and customs clearance costs within the territory of the Democratic Republic of the Congo.
- Quality Assurance: All Teacher Secondary educational materials must meet the quality standards set by the DR Congo national education authority. The Buyer reserves the right to inspect and reject any items that do not conform to the specifications outlined in this Purchase Order.
- Payment: Payment shall be made within forty-five (45) calendar days of receipt of a valid invoice and confirmed delivery of all goods. Payment shall be processed via bank transfer to the account designated by the Supplier. The Buyer's payment shall be made in US Dollars from the Provincial Education Fund allocated for the 2025/2026 Teacher Secondary development program in DR Congo Kinshasa.
- Warranty: The Supplier guarantees a minimum of twelve (12) months warranty on all electronic equipment (digital whiteboards, laptops) and six (6) months on all printed and physical materials. Any defects discovered within the warranty period shall be repaired or replaced at no additional cost to the Buyer.
- Compliance: The Supplier acknowledges that this Purchase Order is governed by the public procurement laws of the Democratic Republic of the Congo and the specific regulations of the Provincial Directorate of Education in Kinshasa. The Supplier shall comply with all local labor, environmental, and tax regulations applicable in DR Congo Kinshasa.
- Intellectual Property: All Teacher Secondary curriculum materials, pedagogical guides, and training content delivered under this Purchase Order shall be licensed for unlimited use within all public secondary schools in the Kinshasa province. The Supplier grants the Buyer a perpetual, non-revocable license for educational use.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or disruptions to infrastructure in DR Congo Kinshasa. The affected party shall notify the other within seven (7) days of the occurrence.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Kinshasa, DR Congo, or to arbitration under the rules of the OHADA arbitration center, at the election of the Buyer.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Any change in scope, quantity, or delivery schedule for Teacher Secondary program items must be documented as a formal amendment to this Purchase Order.
- Confidentiality: Both parties agree to maintain confidentiality regarding the financial terms and specific quantities outlined in this Purchase Order, except as required by DR Congo public transparency and accountability laws.
