All items specified in this Purchase Order shall be delivered to the designated Teacher Secondary distribution centers located across the woredas of Ethiopia Addis Ababa, including Bole, Kirkos, Arada, Yeka, Gullele, Kolfe Keranio, Nifas Silk-Lafto, and Lideta sub-cities. The supplier shall ensure that all deliveries are completed no later than 30 August 2025, prior to the commencement of the 2025/2026 academic year. Delivery to each Teacher Secondary school site within Ethiopia Addis Ababa shall be coordinated with the respective woreda education office. The supplier bears all transportation, insurance, and handling costs until the goods are received and signed for by the authorized Teacher Secondary program coordinator at each delivery point.
6. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule, governed by the Federal Democratic Republic of Ethiopia public procurement regulations:
- 30% Advance Payment: ETB 39,350,700.00 – payable within 14 business days of Purchase Order acceptance, upon submission of a bank guarantee from a licensed Ethiopian commercial bank.
- 50% Delivery Payment: ETB 65,584,500.00 – payable within 21 business days of full delivery and successful inspection of all Teacher Secondary program materials at the Ethiopia Addis Ababa distribution centers.
- 20% Retention Payment: ETB 26,233,800.00 – payable within 90 days of final acceptance, subject to a satisfactory performance review of the Teacher Secondary equipment and materials during the first semester.
All payments shall be processed via bank transfer to the supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa Branch. The supplier must provide a valid Tax Invoice and a Certificate of Origin for all imported items as required by Ethiopian customs and tax law.
7. Terms and Conditions- This Purchase Order is governed by the laws of the Federal Democratic Republic of Ethiopia and the Public Procurement and Property Administration Proclamation No. 1160/2019.
- All Teacher Secondary materials must comply with the national curriculum standards set by the Ministry of Education and approved for use in Ethiopia Addis Ababa secondary schools.
- The supplier warrants that all goods are new, of the highest quality, and free from defects. A minimum 24-month warranty is required for all electronic equipment (projectors, tablets, and software).
- Any deviation from the specifications stated in this Purchase Order must be approved in writing by the Teacher Secondary Program Director before production or shipment.
- Penalty for late delivery: 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value. Delays exceeding 30 days entitle the buyer to cancel this Purchase Order without penalty.
- The supplier shall provide a comprehensive training session for Teacher Secondary staff on the operation and maintenance of all electronic equipment delivered under this Purchase Order, to be conducted in Ethiopia Addis Ababa within 14 days of delivery.
- Disputes arising from this Purchase Order shall be resolved through mediation by the Addis Ababa City Arbitration Board. If mediation fails, the matter shall be referred to the competent courts in Ethiopia Addis Ababa.
- This Purchase Order may only be amended by a written addendum signed by both parties. No verbal modifications are valid.
- The supplier shall maintain full records of all Teacher Secondary materials delivered and shall make them available for audit by the Ethiopian Auditor General's Office upon request.
- All intellectual property rights associated with the Teacher Secondary curriculum content and software remain the property of the Ministry of Education, Federal Democratic Republic of Ethiopia.
