5.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.

5.2 The supplier shall ensure that all Teacher Secondary personnel recruited under this Purchase Order hold the appropriate teaching qualification (Lehrbefähigung) for the respective secondary school level in Germany Berlin, as verified by the Kultusverwaltung.

5.3 All deliverables related to the Teacher Secondary programme must be completed and accepted no later than 01 September 2025, in preparation for the start of the new academic year in Germany Berlin.

5.4 Payment shall be made via bank transfer to the account specified by the supplier. Invoices must reference this Purchase Order number (BER-SEC-2025-04872) and include the supplier's USt-IdNr. for VAT compliance under German tax law.

5.5 The supplier warrants that all services rendered for the Teacher Secondary programme shall meet the quality standards defined in the attached Service Level Agreement (SLA) and shall comply with all applicable data protection regulations, including the GDPR (DSGVO) and the Berliner Datenschutzgesetz.

5.6 The Land Berlin reserves the right to audit the supplier's compliance with this Purchase Order at any reasonable time. The supplier shall maintain all records related to the Teacher Secondary programme for a minimum period of ten (10) years in accordance with German commercial law (HGB).

5.7 Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the Teacher Secondary scope of work are not binding.

5.8 The supplier shall maintain adequate professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 5,000,000 for the duration of this Purchase Order.

All physical goods (Item 03) shall be delivered to the respective secondary school locations across Germany Berlin as specified in the attached delivery schedule. Digital services and training programmes (Items 02, 04, 05, 07) shall be made available via the Berlin Education Portal (Bildungsportal Berlin) no later than 15 August 2025. Acceptance of all deliverables under this Purchase Order shall be confirmed in writing by the designated project manager of the Schulverwaltung Berlin within fourteen (14) calendar days of delivery or completion.

This Purchase Order is issued and authorised by the undersigned on behalf of the Land Berlin – Senatorin für Bildung, Jugend und Familie. The supplier acknowledges receipt and acceptance of this Purchase Order by signing below.
