6.1 This Purchase Order constitutes a binding agreement between the Frankfurt Metropolitan Education Authority and Pädagogik & Bildung Solutions GmbH for the supply of Teacher Secondary educational services and materials in Germany Frankfurt. All terms are governed by the laws of the Federal Republic of Germany, with jurisdiction in Frankfurt am Main.
6.2 The vendor shall ensure that all Teacher Secondary training content, curricula, and digital resources are fully aligned with the current Hessian educational framework (Lehrplan Hessen) and the specific requirements of secondary schools (Gymnasium, Gesamtschule, and Berufliches Gymnasium) operating within the Germany Frankfurt district.
6.3 Delivery of all physical goods shall be made DAP (Delivered at Place) to the FMEA headquarters at Wilhelmstrasse 142, Frankfurt am Main, Germany Frankfurt. Risk of loss transfers upon delivery at the specified location.
6.4 Payment shall be made via SEPA bank transfer within 30 calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-FR-2025-04871). Late payments shall incur interest at the statutory rate under § 288 BGB.
6.5 The vendor warrants that all Teacher Secondary materials are free from intellectual property infringement and comply with the German Copyright Act (Urheberrechtsgesetz). The vendor shall indemnify FMEA against any third-party claims arising from the supplied materials.
6.6 Cancellation: FMEA may cancel this Purchase Order in whole or in part with 30 days' written notice. In the event of cancellation, the vendor shall be compensated for work already performed and non-cancellable commitments, up to a maximum of 15% of the remaining Purchase Order value.
6.7 Data Protection: All personal data of Teacher Secondary participants collected under this Purchase Order shall be processed in accordance with the EU General Data Protection Regulation (GDPR) and the Hessian Data Protection Act (HDSG). The vendor shall act as a data processor and shall not transfer data outside the European Economic Area.
6.8 Quality Assurance: FMEA reserves the right to conduct quality inspections of all Teacher Secondary deliverables. Non-conforming items must be replaced or corrected at the vendor's expense within 14 business days of notification.
6.9 This Purchase Order may not be assigned or subcontracted without prior written consent from the Frankfurt Metropolitan Education Authority.
