All Teacher Secondary program materials and platform access shall be delivered and made operational no later than 15 August 2025, in time for the commencement of the 2025/2026 academic year in Germany Munich. On-site workshops shall be conducted at designated secondary school venues within the city of München, with the first session scheduled for 22 September 2025. The supplier shall provide a detailed delivery and implementation timeline within ten (10) business days of acceptance of this Purchase Order.
- Payment shall be made via bank transfer (SEPA) to the supplier’s designated account in Germany.
- 30% advance payment upon written acceptance of this Purchase Order.
- 40% upon completion of the first term of Teacher Secondary workshops and platform deployment.
- 30% upon final delivery, completion of the second term, and submission of the annual evaluation report.
- All invoices shall reference Purchase Order No. GM-2025-TS-04872 and shall be issued in accordance with German invoicing regulations (GoBD).
- Payment terms: Net 30 days from date of invoice receipt.
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in München, Germany.
- The supplier warrants that all Teacher Secondary program content is original, free of intellectual property infringement, and aligned with the current Bavarian secondary education curriculum (Lehrpläne für die Sekundarstufe I und II).
- The supplier shall maintain full compliance with the General Data Protection Regulation (GDPR) and the Bavarian Data Protection Act (BayDSG) in the handling of all educator and student data processed under this Purchase Order.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-ordered school closures in Germany Munich, shall extend delivery deadlines proportionally.
- The buyer reserves the right to audit the supplier’s Teacher Secondary program delivery, financial records, and compliance documentation upon 14 days’ written notice.
- Early termination may be invoked by either party with 90 days’ written notice. In such cases, the supplier shall be compensated for services rendered up to the termination date.
- All communications regarding this Purchase Order shall be conducted in German or English and directed to the contact persons listed in Sections 1 and 2.
