The Service Provider shall ensure that all Teacher Secondary personnel are recruited, verified, and deployed to their respective assigned schools in Bangalore, India, no later than 1st August 2025, in alignment with the commencement of the academic year 2025–2026. A phased deployment schedule is as follows:

• Phase 1 (by 15th July 2025): Deployment of Teacher Secondary staff for Mathematics and Science disciplines across Bangalore North and South zones.
• Phase 2 (by 25th July 2025): Deployment of Teacher Secondary staff for English, Social Sciences, and Computer Science across Bangalore East and West zones.
• Phase 3 (by 30th July 2025): Deployment of Teacher Secondary staff for Kannada and Regional Language instruction across all zones in Bangalore, Karnataka, India.
• Phase 4 (by 10th August 2025): Completion of orientation, professional development training, and integration of all Teacher Secondary personnel into their respective school environments.

• Payment shall be made in three equal installments: 40% upon successful deployment of all Teacher Secondary personnel, 30% upon completion of the first term (October 2025), and 30% upon satisfactory completion of the academic year (May 2026).
• All payments are subject to the submission of valid tax invoices, GST certificates, and performance compliance reports by the Service Provider.
• Payment processing shall be conducted through the Bangalore Secondary Education Board's designated treasury office located in Bangalore, Karnataka, India.
• Any delay in payment beyond 30 days from the due date shall attract interest at the rate of 12% per annum, as per the applicable provisions of the Indian Contract Act, 1872.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of India, specifically the Indian Contract Act, 1872, and the applicable education regulations of the State of Karnataka.
• Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
• The Service Provider warrants that all Teacher Secondary personnel deployed under this Purchase Order shall be free from any prior contractual obligations and shall not be engaged by any other institution during the term of this Purchase Order.
• Either party may terminate this Purchase Order with a written notice of sixty (60) days, subject to the completion of any ongoing academic term to ensure continuity of education for students in Bangalore, India.
• The Service Provider shall maintain comprehensive insurance coverage for all Teacher Secondary personnel, including personal accident and professional liability insurance, throughout the duration of this Purchase Order.
• This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of Teacher Secondary services in Bangalore, India.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Teacher Secondary services in Bangalore, Karnataka, India. This Purchase Order shall become effective upon the date of the last signature affixed hereto.
