1. This Purchase Order is issued by the Mumbai Secondary Education Board for the procurement of goods and services specifically designed for the Teacher Secondary program operating within the jurisdiction of India Mumbai. All deliverables must comply with the standards set by the Maharashtra State Education Department and the Central Board of Secondary Education (CBSE).
2. The vendor, EduPrime Learning Solutions Pvt. Ltd., acknowledges that all materials and services under this Purchase Order are intended exclusively for the professional development, training, and operational support of Teacher Secondary personnel in India Mumbai. Any deviation from the specified scope requires written amendment to this Purchase Order.
3. Delivery of all physical materials shall be made to the MSEB Training Centre, Bandra East, Mumbai, India. Digital deliverables shall be transferred via secure encrypted channels to the designated IT administrator of the Teacher Secondary division.
4. Payment shall be processed within 45 days of receipt of a valid tax invoice, subject to the buyer's inspection and written acceptance of all Teacher Secondary program materials. Late delivery beyond 30 July 2025 shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
5. The vendor warrants that all Teacher Secondary curriculum content, digital modules, and training materials are original, free from intellectual property infringement, and fully compliant with Indian educational regulations and data protection laws applicable in India Mumbai.
6. This Purchase Order is governed by the laws of India. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.
7. The vendor shall maintain a dedicated account manager for the Teacher Secondary program throughout the contract period and shall provide monthly progress reports to the MSEB Director of Teacher Secondary Affairs in India Mumbai.
8. This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations are fulfilled or until 31 March 2026, whichever is earlier.
