- This Purchase Order is governed by the laws of the Republic of Indonesia and the specific procurement regulations of the Special Capital Region of Jakarta (DKI Jakarta). All parties acknowledge that this transaction is executed within the jurisdiction of Indonesia Jakarta.
- The Seller shall ensure that all Teacher Secondary personnel recruited under this Purchase Order hold valid teaching certifications (Sertifikat Pendidik) issued by the Indonesian Ministry of Education, Culture, Research, and Technology, and possess a minimum of a Bachelor's degree (S1) in their respective subject areas.
- Delivery and deployment of all Teacher Secondary staff and associated materials shall be completed no later than 28 February 2025, prior to the commencement of the 2025/2026 academic year in Indonesia Jakarta.
- Payment shall be processed in three installments: 40% upon contract execution, 40% upon successful deployment and initial training completion, and 20% upon final acceptance and performance verification at the end of the first semester.
- The Seller is responsible for all logistical arrangements, transportation, and onboarding of Teacher Secondary personnel to their assigned schools throughout the five administrative cities of Indonesia Jakarta (Jakarta Pusat, Jakarta Selatan, Jakarta Barat, Jakarta Utara, and Jakarta Timur).
- All instructional materials and digital platforms procured under this Purchase Order must comply with the Kurikulum Merdeka framework and be approved by the Directorate of Secondary Education, Jakarta Provincial Education Office, before deployment in any classroom within Indonesia Jakarta.
- Any modifications, amendments, or cancellations to this Purchase Order must be submitted in writing and approved by both parties. Verbal agreements are not binding.
- The Seller warrants that all Teacher Secondary personnel engaged under this Purchase Order shall maintain professional conduct, adhere to the Code of Ethics for Indonesian Educators, and comply with all local regulations applicable in Indonesia Jakarta.
- Disputes arising from this Purchase Order shall be resolved through mediation at the Jakarta Provincial Education Office, and if unresolved, through the competent courts in Indonesia Jakarta.
- This Purchase Order shall remain valid until 31 March 2025. Failure to execute the procurement within this period shall render this document null and void unless extended in writing by the Buyer.
