  1. Compliance with Israeli Law: All Teacher Secondary personnel engaged under this Purchase Order shall comply with the Teachers' Law, 5728-1968, and all subsequent amendments enacted by the Knesset of Israel. The vendor shall ensure that every Teacher Secondary candidate holds a current teaching certificate recognized by the Ministry of Education of the State of Israel.
  2. Place of Performance: All teaching duties associated with this Purchase Order shall be carried out at designated secondary school campuses located within the municipality of Tel Aviv, Israel. The vendor is responsible for coordinating transportation and scheduling across all Tel Aviv sites as directed by the Tel Aviv Municipal Education Authority.
  3. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from EduStaff Israel Ltd. Payment shall be processed via bank transfer to the vendor's designated account in an Israeli bank, denominated in New Israeli Shekels (ILS). Late payments shall accrue interest at the rate prescribed by the Interest Law, 5713-1953.
  4. Background Checks: Prior to the commencement of any Teacher Secondary engagement, the vendor shall submit to the Tel Aviv Municipal Education Authority a certified copy of a criminal background check (Tzav) and a child protection clearance (Tzav Ha'aretz) for each Teacher Secondary candidate, as required under Israeli law for personnel working with minors in secondary education.
  5. Professional Development: The vendor shall allocate a minimum of 40 hours per academic year for each Teacher Secondary to participate in continuing professional development workshops, curriculum alignment sessions, and pedagogical training programs approved by the Ministry of Education of Israel. These hours shall be compensated as part of the unit price specified in Section 2.
  6. Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Tel Aviv Municipal Education Authority shall be liable for all Teacher Secondary compensation accrued up to the effective date of termination, in accordance with the Israeli Labor Law, 5719-1958.
  7. Confidentiality: All student records, assessment data, and institutional information encountered by Teacher Secondary personnel in the course of their duties in Tel Aviv shall be treated as strictly confidential in accordance with the Privacy Protection Law, 5741-1981, of the State of Israel.
  8. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the Arbitration Law, 5728-1968. The governing law of this Purchase Order shall be the laws of the State of Israel.

All Teacher Secondary positions listed in this Purchase Order shall commence no later than 1 September 2025, coinciding with the opening of the 2025/2026 academic year in Israel. The vendor shall submit a confirmed roster of all Teacher Secondary personnel, including curriculum vitae, teaching licenses, and reference letters, no later than 15 August 2025. A joint orientation day for all Teacher Secondary staff shall be held at the Tel Aviv Education Center, 10 Dizengoff Street, Tel Aviv, on 28 August 2025.

This Purchase Order constitutes a binding procurement instrument for the Tel Aviv Municipal Education Authority. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document regarding the engagement of Teacher Secondary personnel in the Tel Aviv, Israel education system.
