5.1 Scope of Teacher Secondary Services: All Teacher Secondary personnel procured under this Purchase Order shall hold valid Japanese teaching licenses (Kyōshi Shōken) appropriate to their assigned subject and educational level. The Teacher Secondary professionals shall be deployed to secondary schools (chūgakkō and kōtō gakkō) located within the Japan Kyoto prefectural boundaries as specified in the itemized schedule above.
5.2 Delivery and Deployment: The vendor shall ensure that all Teacher Secondary positions are filled no later than March 25, 2025, to permit orientation and preparation prior to the commencement of the Japanese academic year on April 1, 2025. Any delays in Teacher Secondary deployment shall be subject to a penalty of 50,000 JPY per position per day of delay.
5.3 Quality Assurance: The Teacher Secondary services shall adhere to the curriculum standards set forth by MEXT and the Japan Kyoto Prefectural Education Committee. Quarterly performance reviews of all Teacher Secondary personnel shall be conducted jointly by the issuing authority and the vendor.
5.4 Payment Schedule: Payment for this Purchase Order shall be made in four quarterly installments of 92,187,500 JPY each, due within 30 days of the end of each fiscal quarter. Invoices must reference Purchase Order number KYO-SEC-2025-04782.
5.5 Termination: Either party may terminate this Purchase Order with 60 days written notice. In the event of termination, the vendor shall ensure a minimum of 30 days of Teacher Secondary coverage transition to prevent disruption to students in Japan Kyoto secondary schools.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Japan Kyoto Prefectural Procurement Regulations and the National Public Procurement Act.
5.7 Confidentiality: All personnel records, student data, and institutional information related to the Teacher Secondary services in Japan Kyoto shall be treated as strictly confidential in compliance with Japan's Personal Information Protection Act (APPI).
