All goods specified in this Purchase Order shall be delivered to the designated Teacher Secondary school facilities located throughout the Japan Tokyo metropolitan area, including but not limited to the wards of Chiyoda, Shibuya, Shinjuku, Minato, and Setagaya. The supplier shall coordinate delivery schedules with the Japan Tokyo Regional Education Logistics Office no fewer than fourteen (14) business days prior to each scheduled delivery date. All shipments must be made in accordance with Japan Tokyo municipal transportation regulations and must arrive in original, undamaged packaging. The supplier bears full responsibility for goods until they are received and signed for by the authorized Teacher Secondary facility manager at each Japan Tokyo delivery point.
6. Payment TermsPayment for this Purchase Order shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of full and satisfactory delivery of all Teacher Secondary items to the respective Japan Tokyo school locations. The buyer reserves the right to withhold payment for any line item that fails to meet the quality specifications outlined in the attached Technical Annex (Document Ref: JPT-2025-TS-04872-ANNEX-A). Late payments shall incur interest at a rate of 1.5% per month, calculated from the due date. All invoices must reference this Purchase Order number (JPT-2025-TS-04872) and must be submitted to the Japan Tokyo Procurement Accounting Division.
7. Quality Assurance and Acceptance CriteriaAll products procured under this Purchase Order for Teacher Secondary use must comply with the Japanese Industrial Standards (JIS) applicable to educational equipment and must carry the appropriate safety certifications for use in Japan Tokyo public school environments. The buyer's Quality Assurance team, operating under the Teacher Secondary Standards Committee in Japan Tokyo, shall conduct a 10% random inspection of all delivered items within five (5) business days of receipt. 8.2. The supplier warrants that all goods supplied under this Purchase Order for Teacher Secondary use are new, unused, and free from defects in materials and workmanship for a period of no less than two (2) years from the date of delivery in Japan Tokyo.
8.3. Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters (including but not limited to earthquakes common to the Japan Tokyo region), government orders, or other force majeure events.
8.4. This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party. Any modification to this Purchase Order must be executed in writing and signed by both the Teacher Secondary Procurement Authority and the Supplier's authorized representative.
8.5.
