- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the supplier. Payment will be processed via bank transfer to the account designated by EduSupply Malaysia Sdn. Bhd. All transactions are subject to the financial regulations of the Malaysian government as outlined in the Financial Procedures and Rules 2017.
- Delivery: All items under this Purchase Order must be delivered to the respective secondary school locations and Teacher Secondary training centres within Malaysia Kuala Lumpur no later than 30 July 2025. The supplier is responsible for all transportation, insurance, and installation costs within the Kuala Lumpur metropolitan area.
- Warranty: All electronic equipment, including smart boards, projectors, and audio-visual systems, shall carry a minimum manufacturer warranty of three (3) years. Science laboratory equipment shall carry a warranty of two (2) years. The Teacher Secondary programme requires that all warranty claims be serviced within Kuala Lumpur within five (5) working days.
- Quality Standards: All materials and equipment procured under this Purchase Order must comply with the Malaysian Standard (MS) specifications and the requirements set forth by the Department of Education, Malaysia Kuala Lumpur, for the Teacher Secondary programme. Printed materials must be produced in both Bahasa Melayu and English to meet the bilingual requirements of the Teacher Secondary curriculum.
- Acceptance: A joint inspection team comprising representatives from the Department of Education, Malaysia Kuala Lumpur, and the designated Teacher Secondary programme coordinators shall inspect all delivered items within seven (7) working days of delivery. Items that do not meet the specifications outlined in this Purchase Order shall be rejected and replaced at the supplier's expense.
- Intellectual Property: All Teacher Secondary training manuals, curriculum guides, and assessment frameworks procured under this Purchase Order shall be licensed exclusively for use within the Malaysia Kuala Lumpur secondary education system. Reproduction or distribution outside the designated Teacher Secondary programme is strictly prohibited.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of Malaysia. The competent courts of Kuala Lumpur, Malaysia, shall have exclusive jurisdiction over any legal proceedings related to this Purchase Order.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the Malaysia Kuala Lumpur region.
