- Delivery: All items listed in this Purchase Order shall be delivered to the designated Teacher Secondary facilities in Abuja, Nigeria, within forty-five (45) calendar days from the date of this Purchase Order. Delivery is to be made to the Abuja Secondary Education Complex, Garki District, Abuja, FCT, Nigeria.
- Payment Terms: Payment shall be made in two tranches: fifty percent (50%) upon successful delivery and inspection of all goods at the Abuja delivery site, and the remaining fifty percent (50%) upon full installation, commissioning, and acceptance by the Teacher Secondary programme oversight committee in Abuja.
- Warranty: All electronic equipment (smart boards, laptops, projectors, and audio-visual systems) shall carry a minimum of two (2) years manufacturer's warranty with on-site service coverage in Abuja, Nigeria. Laboratory equipment kits shall carry a one (1) year warranty.
- Quality Standards: All goods must comply with the National Standards of Nigeria (SON) and meet the specifications outlined in the Teacher Secondary programme technical requirements document (Ref: TS/ABJ/TECH/2025/012).
- Penalties: For every day of delay beyond the stipulated delivery period, the vendor shall be liable for a penalty of 0.5% of the total Purchase Order value per day, up to a maximum of 10% of the total value.
- Inspection and Acceptance: A joint inspection team comprising representatives from the Federal Ministry of Education (Teacher Secondary Division) and the Abuja FCT Education Authority shall conduct a physical inspection of all delivered goods within five (5) working days of delivery in Abuja, Nigeria.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act of Nigeria, with the seat of arbitration in Abuja, FCT, Nigeria.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with specific reference to the Federal Capital Territory (Abuja) procurement regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government policy changes affecting the Teacher Secondary programme, or national emergencies declared in Nigeria.
- Confidentiality: All information exchanged under this Purchase Order relating to the Teacher Secondary programme in Abuja, Nigeria, shall be treated as confidential and shall not be disclosed to third parties without written consent from the Federal Ministry of Education.
