TERMS AND CONDITIONS

Payment Terms: Payment for this Purchase Order shall be made via Government Check or Bank Transfer to EduSupply Philippines, Inc. within thirty (30) calendar days from the date of full delivery and acceptance of all items listed herein. The payment shall be processed through the Philippines Manila Department of Education (DepEd) Regional Office V (NCR) accounting division.
Delivery: All items under this Purchase Order for Teacher Secondary use shall be delivered to the Rizal National High School campus located in Quezon City, Philippines Manila. The seller is responsible for all transportation, handling, and installation costs within the Philippines Manila metropolitan area. Delivery schedules are as indicated in the item table above.
Acceptance: The Teacher Secondary designated recipient shall inspect all delivered items within five (5) business days of arrival. Any defects, shortages, or non-conformities to the Philippines Manila DepEd specifications must be reported in writing to the seller within this period. Failure to report within this window constitutes acceptance of the goods.
Warranty: All electronic equipment (Interactive Whiteboard, Projector, and Software) carries a minimum two-year manufacturer's warranty valid in the Philippines Manila region. Consumable items (textbooks, workbooks, binders) are non-returnable once opened. The Teacher Secondary department shall be provided with a warranty registration card for each electronic item.
Compliance: All educational materials procured under this Purchase Order must conform to the 2025 Revised DepEd Curriculum as implemented in the Philippines Manila region. The seller warrants that all textbooks, workbooks, and laboratory kits are DepEd-approved and carry the official Philippines Manila regional curriculum alignment certification.
Intellectual Property: The Teacher Secondary software license (Item No. 5) is a non-transferable, single-institution license. The seller grants the Philippines Manila school the right to use the assessment software exclusively for internal educational purposes. No redistribution or sub-licensing is permitted.
Force Majeure: Neither party shall be liable for delays caused by natural disasters (typhoons, earthquakes), government-mandated closures, or other events beyond reasonable control as recognized under Philippine law. In such cases, delivery timelines for this Purchase Order shall be extended by a period equivalent to the duration of the disruption in the Philippines Manila area.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order related to Teacher Secondary procurement in the Philippines Manila region shall be resolved through the DepEd Regional Office V (NCR) dispute resolution mechanism, or failing that, through the courts of competent jurisdiction in Metro Manila.
Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the Teacher Secondary department head and the authorized representative of the seller. Verbal agreements regarding scope, pricing, or delivery in the Philippines Manila context are expressly void.
