- Scope of Engagement: This Purchase Order authorizes the Seller to recruit, vet, and place qualified Teacher Secondary professionals into secondary school institutions across the Saint Petersburg municipal education network for the 2025–2026 academic year. All Teacher Secondary candidates must hold a recognized secondary education teaching qualification issued by an accredited institution in the Russian Federation.
- Delivery and Commencement: All Teacher Secondary personnel shall be inducted and reporting to their assigned secondary schools in Saint Petersburg no later than 1 September 2025. The Seller shall provide a confirmed roster of all Teacher Secondary placements to the Buyer no fewer than 30 calendar days prior to the commencement date.
- Payment Terms: Payment for this Purchase Order shall be made in three equal installments: 40% upon execution of this document, 35% upon confirmed placement of all Teacher Secondary staff in Saint Petersburg schools, and 25% upon successful completion of the first semester. All payments shall be processed in Russian Rubles (RUB) via bank transfer to the Seller's designated account in Saint Petersburg.
- Compliance and Standards: The Seller guarantees that every Teacher Secondary individual engaged under this Purchase Order shall comply with all applicable regulations of the Ministry of Education of the Russian Federation, the Saint Petersburg Committee for Education, and local municipal bylaws governing secondary school staffing in Russia.
- Performance and Replacement: In the event that any Teacher Secondary professional fails to meet the performance benchmarks established by the Saint Petersburg municipal education authority, the Seller shall provide a qualified replacement Teacher Secondary candidate within 14 business days at no additional cost to the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all personnel data, compensation structures, and operational details related to the Teacher Secondary engagements described in this Purchase Order. This obligation shall survive the termination of this document for a period of three (3) years.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation in good faith. Should negotiation fail, the matter shall be submitted to the Arbitration Court of the City of Saint Petersburg, Russia, in accordance with the procedural rules of the Russian Federation.
- Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Saint Petersburg region.
- Validity: This Purchase Order shall remain valid and in full force from the date of signature until the conclusion of the 2025–2026 academic year in Saint Petersburg, unless terminated earlier in accordance with the provisions herein.
