All services and materials referenced in this Purchase Order shall be delivered and made operational no later than 1 September 2025, coinciding with the commencement of the academic year in Saudi Arabia Riyadh. The Teacher Secondary recruitment and onboarding process must be completed by 15 August 2025 to allow adequate orientation time. Training workshops shall be conducted at the Riyadh Education Training Center, Al Malqa District, and at designated secondary school campuses across the city. Digital platform licenses must be activated and accessible to all Teacher Secondary personnel by 25 August 2025.

  • Payment Method: Bank transfer to the supplier's designated account in Saudi Arabia (IBAN to be confirmed in writing).
  • Payment Schedule: 30% advance upon signing of this Purchase Order; 40% upon completion of recruitment and onboarding of all Teacher Secondary positions; 30% upon final acceptance and sign-off of all deliverables by the Riyadh Regional Education Director.
  • Payment Window: Net 30 days from receipt of a valid invoice and verified delivery confirmation.
  • Currency: All amounts are denominated in Saudi Riyals (SAR). No foreign currency payments shall be processed.
  • Withholding: The buyer reserves the right to withhold up to 10% of any installment pending satisfactory resolution of quality concerns related to Teacher Secondary service delivery.
  1. This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the Saudi Civil Transactions Law. Any disputes shall be resolved through the competent courts in Saudi Arabia Riyadh.
  2. The supplier warrants that all Teacher Secondary candidates recruited under this order hold valid academic qualifications (minimum Bachelor's degree in the relevant subject) and possess the required teaching licenses recognized by the Saudi Ministry of Education.
  3. All Teacher Secondary personnel engaged under this contract must comply with Saudi labor laws, cultural norms, and the Ministry of Education code of conduct. Expatriate staff must obtain valid work permits and Iqama before commencing duties in Saudi Arabia Riyadh.
  4. The supplier shall maintain full confidentiality regarding student data, staff records, and institutional information in accordance with the Saudi Data Protection Authority (SDPA) regulations.
  5. Any modification to the scope, quantity, or timeline of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements are not binding.
  6. The supplier shall provide a comprehensive project management plan within 10 business days of this Purchase Order being accepted, detailing milestones, responsible parties, and reporting cadence for the Teacher Secondary program.
  7. Force majeure events, including but not limited to government-mandated closures in Saudi Arabia Riyadh, shall extend delivery deadlines proportionally without penalty to either party.
  8. The supplier shall carry professional indemnity insurance with a minimum coverage of SAR 5,000,000 for the duration of this engagement.

This Purchase Order becomes effective upon countersignature by both parties. The supplier's acceptance constitutes full agreement to all terms, conditions, and specifications outlined herein for the Teacher Secondary program in Saudi Arabia Riyadh.
