- Compliance with Senegalese Law: This Purchase Order is governed by the laws of the Republic of Senegal, including the Code des Marchés Publics and all applicable regulations of the Direction Générale des Marchés Publics. Any dispute arising from this Purchase Order shall be resolved by the competent courts of Dakar, Senegal.
- Teacher Secondary Standards: All educational materials, software, and training content must be reviewed and approved by the DESG (Direction de l'Enseignement Secondaire Général) prior to delivery. Materials must be appropriate for the Teacher Secondary level (classes de 6ème through Terminale) and must align with the current Senegalese national curriculum for secondary education.
- Delivery in Dakar: All physical goods shall be delivered to the designated locations within the Dakar region as specified in Section 4. The supplier is responsible for all transportation, insurance, and customs clearance (where applicable) within Senegal. Delivery must be completed no later than 30 August 2025, prior to the resumption of the 2025–2026 academic year in Senegal.
- Quality Assurance: The supplier warrants that all items conform to the specifications outlined in this Purchase Order and to applicable Senegalese and West African (UEMOA) safety and quality standards. A 24-month warranty is required on all electronic equipment (Items 02, 06, and 08).
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon verified delivery and acceptance of goods in Dakar, and 20% upon successful completion of the Teacher Secondary training program (Item 03) and final acceptance. Payment will be issued by the Trésor Public du Sénégal within 45 days of invoice validation.
- Language of Instruction: All Teacher Secondary materials must be provided in French as the primary language, with English as a secondary language where indicated. Training sessions (Item 03) shall be conducted in French with English-language supplementary materials available.
- Intellectual Property: All custom-developed content created specifically for the Teacher Secondary program in Senegal Dakar shall remain the property of the Senegalese Ministry of National Education. The supplier grants a perpetual, non-exclusive license for use in all public secondary schools in Senegal.
- Penalties for Late Delivery: In the event of delayed delivery beyond the 30 August 2025 deadline, the supplier shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%. Delays exceeding 30 days entitle the DREF Dakar to terminate this Purchase Order without penalty.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-mandated closures, as defined under Senegalese commercial law.
- Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information exchanged in connection with this Purchase Order, in accordance with Senegalese data protection regulations.
