TERMS AND CONDITIONS

1. Scope of Work: The Seller shall recruit, vet, and place qualified Teacher Secondary professionals in the designated schools across Abu Dhabi, United Arab Emirates, as specified in the line items above. Each Teacher Secondary must complete ADEK's mandatory orientation, safeguarding training, and curriculum alignment workshops within the first fourteen (14) days of commencement.

2. Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the Seller's designated account in Abu Dhabi. The first installment (33.33%) is due upon successful onboarding of all Teacher Secondary personnel. The second installment (33.33%) is due at the midpoint of the academic term (January 2026). The final installment (33.34%) is due upon satisfactory completion of the academic year (June 2026). All payments are denominated in UAE Dirhams (AED) and are subject to the prevailing UAE tax regulations.

3. Compliance & Licensing: All Teacher Secondary candidates must comply with the Federal Law No. 3 of 2018 on the Organization of the Education Sector in the United Arab Emirates, as well as all Abu Dhabi-specific regulatory directives issued by ADEK. The Seller warrants that every Teacher Secondary placed under this Purchase Order holds a valid UAE teaching license, a clean police clearance certificate, and a recognized academic qualification verified by the UAE Ministry of Education.

4. Performance Standards: Each Teacher Secondary shall adhere to the Abu Dhabi Secondary Education Curriculum Framework and the ADEK Performance Indicators for Secondary Teachers. Annual performance reviews shall be conducted in December 2025 and June 2026. Failure to meet the minimum performance threshold (score of 70% or above) may result in reassignment or termination of the individual Teacher Secondary's placement without penalty to the Buyer.

5. Substitution Clause: In the event that a Teacher Secondary is unable to fulfill their contractual obligations due to medical leave, resignation, or disciplinary action, the Seller shall provide a qualified replacement Teacher Secondary within twenty-one (21) calendar days at no additional cost to the Buyer, subject to ADEK approval.

6. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the Abu Dhabi Commercial Court jurisdiction. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi, United Arab Emirates, in accordance with the UAE Arbitration Law.

7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all personnel data, compensation structures, and operational details related to the Teacher Secondary placements. This obligation survives the termination of this Purchase Order for a period of three (3) years.

8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures, or public health emergencies declared by the UAE Federal Government or Abu Dhabi Municipality.
