This Purchase Order is issued by the Birmingham Metropolitan Secondary Education Authority for the procurement of comprehensive Teacher Secondary education resources, professional development services, and instructional materials. 4.1 This Purchase Order constitutes a binding agreement between the Birmingham Metropolitan Secondary Education Authority and Midlands Teacher Secondary Solutions Ltd. for the supply of Teacher Secondary education resources and services within the United Kingdom Birmingham region.

4.2 All Teacher Secondary materials shall be delivered in accordance with the National Curriculum for England and shall be suitable for use in secondary schools (Key Stage 3 and Key Stage 4) across the Birmingham metropolitan area, including the local authority districts of Birmingham, Solihull, Walsall, Dudley, Sandwell, and Wolverhampton.

4.3 The Supplier warrants that all Teacher Secondary products and services conform to the specifications outlined in this Purchase Order and comply with the UK General Product Safety Regulations 2005, the Equality Act 2010, and all relevant data protection legislation including the UK GDPR.

4.4 Payment shall be made via BACS transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payment interest shall accrue in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.5 The Supplier shall provide a twelve (12) month warranty on all physical Teacher Secondary goods. Any defective items shall be repaired or replaced at the Supplier's sole cost within fourteen (14) working days of notification by the Purchaser.

4.6 This Purchase Order is subject to the Public Contracts Regulations 2015 and the UK Procurement Act 2023. The Purchaser reserves the right to audit the Supplier's compliance with all contractual obligations.

4.7 Disputes arising from this Purchase Order shall be resolved through the courts of England and Wales, with exclusive jurisdiction vested in the courts of Birmingham, United Kingdom.

4.8 The Supplier shall maintain adequate public liability insurance of no less than £10,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.

All Teacher Secondary goods shall be delivered to the Birmingham Metropolitan Secondary Education Authority premises at 1200 New Street, Birmingham, B3 2HD, United Kingdom, no later than 15 September 2025. Delivery shall be made between the hours of 08:00 and 16:00 on weekdays. The Purchaser's designated receiving officer shall inspect all Teacher Secondary items upon arrival and issue a written acceptance or rejection notice within five (5) working days. Professional development services and the Teacher Secondary mentorship programme shall commence no later than 1 October 2025 at venues within the Birmingham city centre and surrounding districts.
