• Payment Schedule: The total Purchase Order value of 356,600,000 VND shall be disbursed in twelve (12) equal monthly installments of 29,716,667 VND, payable on the 5th business day of each month, commencing September 2025 and concluding August 2026.
• Payment Method: Bank transfer to the Supplier's designated account at Vietcombank, Branch District 1, Vietnam Ho Chi Minh City. Account details to be confirmed in writing prior to the first disbursement.
• Tax and Withholding: All applicable Vietnamese personal income tax (PIT) and social insurance contributions for each Teacher Secondary individual shall be withheld and remitted by the Buyer in accordance with the current tax code of Vietnam. The Purchase Order amounts stated above are gross amounts before statutory deductions.
• Late Payment Penalty: A penalty of 0.05% per calendar day shall apply to any installment not received within the stipulated due date, in compliance with the Commercial Law of Vietnam.

• 5.1 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code, the Labor Code, and the Commercial Law. Any disputes arising from this Purchase Order shall be resolved through the People's Court of District 1, Vietnam Ho Chi Minh City, or through arbitration at the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, at the Buyer's election.
• 5.2 The Supplier warrants that every Teacher Secondary candidate placed under this Purchase Order shall possess verified academic credentials, a clean criminal background record, and a valid health certificate issued by a recognized medical facility in Vietnam Ho Chi Minh City within the preceding six (6) months.
• 5.3 The Buyer reserves the right to request the replacement of any Teacher Secondary individual who fails to meet performance standards, violates the school code of conduct, or is found to have provided falsified credentials. Replacement shall be effected within fourteen (14) calendar days at no additional cost to the Buyer under this Purchase Order.
• 5.4 The Supplier shall maintain a minimum of 10% standby capacity of qualified Teacher Secondary professionals throughout the contract period to ensure uninterrupted instructional delivery in Vietnam Ho Chi Minh City in the event of illness, resignation, or other absence.
• 5.5 All intellectual property, lesson plans, curricula, and pedagogical materials developed by Teacher Secondary personnel during the term of this Purchase Order shall remain the exclusive property of the Buyer.
• 5.6 This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modification shall be binding.
• 5.7 Force majeure events, including but not limited to natural disasters, government-mandated school closures, or public health emergencies affecting Vietnam Ho Chi Minh City, shall suspend obligations under this Purchase Order for the duration of the event, with proportional adjustment to the remaining payment schedule.
