1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by Dhaka Infrastructure & Networks Ltd. (hereinafter referred to as the "Buyer") to Apex Telecom Solutions BD (hereinafter referred to as the "Supplier") for the procurement of qualified Telecommunication Engineer professional services. The engagement is specifically intended to support the design, deployment, testing, and commissioning of a fiber-optic and 5G hybrid network infrastructure across multiple commercial and residential zones within Bangladesh Dhaka. The Telecommunication Engineer engaged under this Purchase Order shall be responsible for ensuring full compliance with the Bangladesh Telecommunication Regulatory Commission (BTRC) standards and all applicable national regulations governing telecommunications infrastructure in the Bangladesh Dhaka metropolitan area.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Qualification Requirements: All Telecommunication Engineer personnel assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Electrical & Electronic Engineering or Telecommunication Engineering from a recognized institution in Bangladesh or an internationally accredited university. Senior-level engineers must possess a minimum of eight (8) years of relevant experience in fiber-optic and wireless network deployment, with at least three (3) years of experience specifically in the Bangladesh Dhaka telecommunications market.
- Regulatory Compliance: The Supplier shall ensure that all Telecommunication Engineer activities conducted in Bangladesh Dhaka are in strict compliance with BTRC regulations, the Bangladesh Telecommunication Act, and all municipal by-laws of the Dhaka North City Corporation and Dhaka South City Corporation. Any permits, licenses, or right-of-way approvals required for infrastructure installation in Bangladesh Dhaka shall be obtained at the Supplier's cost unless otherwise specified in this Purchase Order.
- Delivery and Commencement: All Telecommunication Engineer personnel must be physically present and operational at the designated project sites in Bangladesh Dhaka no later than 01 August 2025. The Supplier shall provide a detailed mobilization plan at least fourteen (14) days prior to the commencement date.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon successful completion of the network design and initial deployment phase in Bangladesh Dhaka, and the remaining 30% upon final commissioning, BTRC certification, and handover of all documentation. All payments shall be made via bank transfer to the account specified by the Supplier.
- Performance Bond: The Supplier shall furnish a Performance Bond equivalent to 10% of the total Purchase Order value, issued by a scheduled bank in Bangladesh, valid for the duration of the project plus sixty (60) days.
- Warranty and Defect Liability: The Supplier warrants that all work performed by the Telecommunication Engineer team shall be free from defects for a period of twelve (12) months from the date of final acceptance in Bangladesh Dhaka. Any defects identified during this period shall be rectified at no additional cost to the Buyer.
- Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for all Telecommunication Engineer personnel operating in Bangladesh Dhaka throughout the project duration.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Supplier for all verifiable costs incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising hereunder shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh.
- Confidentiality: All technical data, network schematics, and proprietary information exchanged under this Purchase Order relating to the Bangladesh Dhaka telecommunications project shall be treated as strictly confidential by both parties.
