1. This Purchase Order constitutes a binding agreement between TechBridge Solutions Ltda. and ComLink Engineering & Consulting S.A. for the provision of Telecommunication Engineer services exclusively within the jurisdiction of Brazil São Paulo, unless otherwise authorized in writing.
2. The Telecommunication Engineer assigned to this contract must hold a valid CREA (Conselho Regional de Engenharia e Agronomia) registration in the state of São Paulo and possess a minimum of eight (8) years of documented experience in telecommunications infrastructure.
3. All work performed under this Purchase Order shall comply with ANATEL (Agência Nacional de Telecomunicações) regulations, Brazilian telecommunications law (Lei nº 9.472/1997 – Geral de Telecomunicações), and applicable municipal ordinances of the city of São Paulo.
4. Payment terms: Net 30 days from receipt of a valid invoice. Invoices shall be issued in Brazilian Reais (BRL) and submitted to the Procurement Department at the São Paulo headquarters. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, in accordance with Brazilian commercial law.
5. The vendor shall maintain comprehensive professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of R$ 2,000,000.00 for the duration of the contract, naming TechBridge Solutions Ltda. as an additional insured party.
6. Any change in scope, additional Telecommunication Engineer personnel, or modification to the project timeline in Brazil São Paulo must be documented via a formal Change Order signed by both parties before execution.
7. The Telecommunication Engineer shall adhere to all site safety protocols, PPE requirements, and environmental regulations applicable to telecommunications construction in the state of São Paulo, Brazil.
8. Intellectual property generated during the course of this engagement, including network designs, configuration scripts, and optimization reports, shall be the exclusive property of TechBridge Solutions Ltda.
9. Disputes arising from this Purchase Order shall be resolved through arbitration in the city of São Paulo, Brazil, under the rules of the CAM-ARB (Câmara de Arbitragem do Mercado), in the Portuguese language.
10. This Purchase Order is valid for acceptance within ten (10) business days from the issue date. Failure to accept within this period shall render this document null and void.
