This Purchase Order is issued to procure the professional services of a qualified Telecommunication Engineer to be deployed at our primary operations facility in Canada Montreal. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of all telecommunications infrastructure, including but not limited to fiber-optic networks, microwave transmission systems, VoIP telephony platforms, and 5G small-cell deployments across the Canada Montreal metropolitan area. The Telecommunication Engineer must hold a valid Professional Engineer (P.Eng.) license issued by the Ordre des ingénieurs du Québec (OIQ) and possess a minimum of eight (8) years of progressive experience in telecommunications systems engineering within the Canada Montreal region.

The Telecommunication Engineer shall report directly to the Chief Technology Officer of the purchasing entity and shall comply with all applicable regulations set forth by the Canadian Radio-television and Telecommunications Commission (CRTC), the Quebec Ministry of Economy and Innovation, and all municipal bylaws governing telecommunications infrastructure in Canada Montreal. All work performed under this Purchase Order shall adhere to the Canadian Telecommunications Act and the Quebec Charter of the French Language (Bill 96) where applicable to technical documentation and client-facing communications.

  1. Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of receipt of a valid invoice. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the vendor's designated account in Canada Montreal.
  2. Performance Standards: The Telecommunication Engineer shall maintain a minimum network uptime of 99.95% across all Canada Montreal sites. Failure to meet this standard for two consecutive months shall entitle the purchasing entity to a service credit of 5% of the monthly fee.
  3. Confidentiality: The Telecommunication Engineer and all associated personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All network schematics, client data, and proprietary information pertaining to the Canada Montreal operations shall remain strictly confidential in accordance with the Quebec Act Respecting the Protection of Personal Information in the Private Sector (Law 25).
  4. Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD and workers' compensation insurance as required under the Quebec Act Respecting Occupational Health and Safety.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. All work in progress at the time of termination shall be completed and invoiced in accordance with the rates specified herein.
  6. Compliance: The Telecommunication Engineer shall comply with all federal and provincial regulations applicable to telecommunications work in Canada Montreal, including CRTC licensing requirements, Quebec electrical and telecommunications codes, and all applicable occupational health and safety standards.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal, Quebec, in accordance with the Civil Code of Quebec. If mediation is unsuccessful, disputes shall be submitted to binding arbitration under the rules of the ADR Institute of Canada.
