This Purchase Order authorizes the procurement of professional services rendered by a certified Telecommunication Engineer (or a team of Telecommunication Engineers) to execute the following scope of work in the Canada Vancouver region:

• Design and architectural planning of a 5G small-cell network covering the downtown Vancouver corridor, including Yaletown, Gastown, and the False Creek North district.
• Installation, configuration, and commissioning of fiber-optic backhaul links connecting three (3) new cell sites to the existing Canada Vancouver core network infrastructure.
• Conducting RF site surveys, link budget analyses, and interference mitigation assessments for all Telecommunication Engineer deliverables.
• Providing ongoing maintenance, troubleshooting, and performance optimization support for a period of twelve (12) months following initial deployment.
• Compliance verification with Industry Canada (Innovation, Science and Economic Development Canada) radio regulations and the British Columbia Electrical Safety Authority (BCESA) standards.
• Preparation and submission of as-built documentation, test reports, and warranty certificates to Northwest Telecom Solutions Inc.

• Payment shall be made within thirty (30) days of receipt of a valid invoice from the vendor.
• Progress payments shall be issued at the following milestones: 25% upon project commencement, 40% upon completion of all three fiber-optic backhaul installations, 25% upon successful commissioning and handover, and 10% upon delivery of final as-built documentation.
• All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the bank account specified in Section 1.
• Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the British Columbia Interest Act.

1. This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
2. The Telecommunication Engineer engaged under this Purchase Order must hold a valid P.Eng. (Professional Engineer) license issued by the Association of Professional Engineers and Geoscientists of British Columbia (APEGB) or an equivalent certification recognized in Canada Vancouver.
3. The vendor shall maintain comprehensive professional liability insurance (minimum $5,000,000 CAD) and workers' compensation coverage for all personnel operating in the Canada Vancouver work zones.
4. All intellectual property, design documents, and network configurations produced under this Purchase Order shall become the sole property of Northwest Telecom Solutions Inc. upon full payment.
5. The vendor warrants that all Telecommunication Engineer services shall be performed in a professional, workmanlike manner and in full compliance with applicable Canadian telecommunications regulations, BCESA electrical codes, and Canada Vancouver municipal building and zoning bylaws.
6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for all work completed and materials procured up to the termination date.
7. Disputes arising from this Purchase Order shall be resolved through mediation in Vancouver, British Columbia, and, if unresolved, through arbitration under the Arbitration Act (British Columbia).
