This Purchase Order is issued to formally engage a qualified Telecommunication Engineer to provide specialized technical services for the design, deployment, and maintenance of next-generation fiber-optic and 5G network infrastructure within the China Beijing metropolitan area. The Telecommunication Engineer shall be responsible for the end-to-end technical oversight of all telecommunications systems, including but not limited to signal propagation analysis, base station calibration, fiber splicing, network topology optimization, and compliance verification with the Ministry of Industry and Information Technology (MIIT) of the People's Republic of China.
The scope of work for the Telecommunication Engineer under this Purchase Order encompasses the following deliverables:

All services procured under this Purchase Order shall be performed exclusively within the administrative boundaries of China Beijing, including the municipal districts of Dongcheng, Xicheng, Chaoyang, Haidian, Fengtai, Shijingshan, Tongzhou, Changping, Daxing, Fangshan, Shunyi, and Miyun. The Telecommunication Engineer team shall maintain a primary operational base at the Buyer's headquarters located in Xicheng District, China Beijing, and shall conduct field operations at no fewer than forty-five (45) designated network sites throughout the China Beijing metropolitan region. All work shall comply with the local regulations of China Beijing, the national telecommunications standards of the PRC, and the specific technical specifications outlined in Appendix A of this Purchase Order.
4. Terms and Conditions4.1 Commencement and Duration: The services of the Telecommunication Engineer shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. This Purchase Order shall remain in full force and effect for the entire contract duration unless terminated earlier in accordance with Clause 4.7.
4.2 Payment Terms: Payment for services rendered by the Telecommunication Engineer shall be made in monthly installments of CNY 112,833.33, due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via bank transfer to the Seller's designated account in China Beijing. A late payment penalty of 0.05% per calendar day shall apply to any overdue amounts under this Purchase Order.
4.3 Qualification Requirements: The Seller warrants that every Telecommunication Engineer assigned to this project holds a valid PRC Telecommunications Professional Qualification Certificate (Level 1 or above), a current MIIT-registered engineer license, and a minimum of five (5) years of documented experience in telecommunications infrastructure projects within China Beijing or equivalent metropolitan environments. The Seller shall provide copies of all relevant certifications to the Buyer prior to the commencement date.
4.4 Intellectual Property: All technical documentation, network schematics, signal analysis reports, and engineering designs produced by the Telecommunication Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Seller shall not reproduce, distribute, or disclose any such materials to third parties without prior written consent from the Buyer.
4.5 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, network architectures, customer data, and strategic plans disclosed during the execution of this Purchase Order. The Telecommunication Engineer and all sub-contracted personnel shall sign individual Non-Disclosure Agreements (NDAs) prior to accessing any Buyer systems or facilities in China Beijing.
4.6 Insurance and Liability: The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 5,000,000 per occurrence, valid throughout the project duration in China Beijing. The Seller shall indemnify and hold harmless the Buyer against any claims, damages, or losses arising from the negligence, willful misconduct, or professional errors of the Telecommunication Engineer or any personnel under the Seller's supervision.
4.7 Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Seller shall complete all in-progress work of the Telecommunication Engineer and deliver all outstanding documentation within fifteen (15) business days.
4.8 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in China Beijing, in accordance with its then-current arbitration rules. The arbitration shall be conducted in English, and the award shall be final and binding upon both parties.
4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Beijing, epidemics, or acts of war. The affected party shall notify the other within five (5) business days of the occurrence of such event.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Telecommunication Engineer services in China Beijing. This document constitutes a binding contractual agreement effective from the date of the last signature.
