1. Scope of Engagement – Telecommunication Engineer ServicesThis Purchase Order is issued by Shanghai Pacific Telecommunications Ltd. (hereinafter referred to as the "Buyer") to EastBridge Engineering Solutions Co., Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Telecommunication Engineer to provide specialized technical services for the Buyer's infrastructure expansion project located in China Shanghai. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of fiber-optic network infrastructure, 5G base station deployment, and integrated telecommunications systems across the designated project sites within the Pudong and Minhang districts of China Shanghai.

- Engagement Period: The Telecommunication Engineer team shall be engaged for a period of twelve (12) months commencing on 01 July 2025 and concluding on 30 June 2026, unless extended by mutual written agreement between the Buyer and the Vendor. All work shall be performed at the designated project sites in China Shanghai.
- Payment Terms: Payment shall be made in three (3) equal installments of CNY 89,081.67 (inclusive of VAT) via bank transfer to the Vendor's designated account. The first installment is due upon execution of this Purchase Order; the second upon completion of the 6-month milestone; and the third upon final project acceptance in China Shanghai. Payment is due within thirty (30) calendar days of invoice receipt.
- Qualifications: The lead Telecommunication Engineer must hold a valid PRC Registered Telecommunications Engineer certificate (Grade 1), a minimum of ten (10) years of experience in fiber-optic and 5G network deployment, and demonstrated familiarity with the regulatory framework of the China Shanghai Municipal Communications Administration and the State Administration for Market Regulation (SAMR).
- Compliance: All services rendered by the Telecommunication Engineer team shall comply with the Telecommunications Regulations of the People's Republic of China, the Cybersecurity Law of the PRC, and all applicable local ordinances of China Shanghai. The Vendor shall ensure that all RF emissions and network installations meet the standards set forth by the Ministry of Industry and Information Technology (MIIT).
- Intellectual Property: All designs, schematics, network topology documents, and technical reports produced by the Telecommunication Engineer team in the course of this Purchase Order shall be the exclusive property of the Buyer. The Vendor shall not reuse, disclose, or license such materials to any third party without prior written consent.
- Confidentiality: The Vendor and all assigned Telecommunication Engineer personnel shall maintain strict confidentiality regarding the Buyer's network architecture, customer data, and proprietary systems. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall complete all in-progress work at the China Shanghai sites and deliver all documentation to the Buyer within fourteen (14) days of the termination effective date.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for binding arbitration under its then-current rules. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Shanghai.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the Civil Code of the PRC and the Contract Law provisions applicable to service engagements in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Telecommunication Engineer services in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
