2. Scope of Purchase Order
This Purchase Order is issued by Andes Telecom Solutions S.A.S. to formally request and authorize the engagement of a qualified Telecommunication Engineer to provide specialized technical services for the design, deployment, and optimization of fiber-optic and wireless network infrastructure within the metropolitan area of Colombia Medellín. The services described herein are critical to the expansion of our 5G-ready backbone network serving the Aburrá Valley region. The Telecommunication Engineer shall be responsible for all technical planning, site surveys, equipment configuration, signal propagation analysis, and compliance verification in accordance with the regulations established by the Comisión de Regulación de Telecomunicaciones (CRT) of Colombia.

4. Terms and Conditions
- Acceptance: This Purchase Order constitutes a binding offer. The Supplier must confirm acceptance in writing within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order null and void.
- Qualification of the Telecommunication Engineer: The Telecommunication Engineer assigned to this contract must hold a minimum of a Bachelor's degree in Telecommunications Engineering or Electronics Engineering from an accredited Colombian university, possess at least eight (8) years of progressive experience in network infrastructure projects, and maintain a valid professional registration (Cédula Profesional) with the Colegio Colombiano de Ingenieros de Telecomunicaciones. The engineer must also demonstrate proficiency in Cisco, Huawei, and Nokia equipment platforms.
- Work Location: All services under this Purchase Order shall be performed primarily at the project sites located in Colombia Medellín, including but not limited to the El Poblado, Laureles, Envigado, and Bello districts. The Telecommunication Engineer shall report to the Buyer's project office at Calle 43 # 52-18, Medellín, for weekly coordination meetings.
- Payment Terms: Payment shall be made in three (3) equal installments: 40% upon commencement of services, 40% upon completion of the mid-project milestone review, and 20% upon final acceptance and delivery of all documentation. All payments shall be processed via bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (AT-2025-00847).
- Compliance and Safety: The Telecommunication Engineer shall comply with all applicable Colombian labor laws, occupational health and safety regulations (Resolución 0312 of 2019), and telecommunications regulations issued by the CRT. The Supplier is responsible for providing all necessary personal protective equipment (PPE) for fieldwork in Colombia Medellín.
- Confidentiality: All network topology data, customer information, and proprietary engineering documents generated during the execution of this Purchase Order shall be treated as strictly confidential. The Telecommunication Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work.
- Warranty and Defects: The Supplier warrants that all engineering services shall be performed in a professional and workmanlike manner. Any defects in design or implementation discovered within twelve (12) months of final acceptance shall be corrected at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the date of termination, as documented by the Telecommunication Engineer's progress reports.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial and civil laws of the Republic of Colombia. Any disputes shall be resolved through the competent commercial courts of Colombia Medellín, Antioquia.
5. Delivery and Commencement Schedule
The Telecommunication Engineer shall commence on-site work no later than June 23, 2025, at the primary project site in Medellín, Colombia. The full scope of services is expected to be completed by September 30, 2025. A detailed Gantt chart and milestone schedule, prepared by the Telecommunication Engineer, shall be submitted to the Buyer's project manager within the first five (5) business days of commencement. Any delays attributable to the Supplier shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total contract value.
