All services under this Purchase Order shall be performed exclusively within the administrative boundaries of DR Congo Kinshasa, specifically within the Kinshasa City (Ville de Kinshasa) and its immediate peri-urban zones. The Telecommunication Engineer shall maintain a primary operational base at the supplier's registered office in Kinshasa and shall be available on-site at any project location within the DR Congo Kinshasa metropolitan area within a maximum response time of four (4) hours for critical infrastructure failures.

  1. Payment shall be made in United States Dollars (USD) via wire transfer to the supplier's designated bank account in DR Congo Kinshasa.
  2. An advance payment of thirty percent (30%) of the total Purchase Order value shall be disbursed within ten (10) business days of mutual signature of this document.
  3. A second installment of forty percent (40%) shall be released upon successful commissioning and acceptance of all base stations and fiber-optic segments, subject to a written acceptance certificate issued by the Buyer's technical committee in Kinshasa.
  4. The remaining thirty percent (30%) shall be paid in monthly installments corresponding to the maintenance and training phases, with each payment contingent upon submission of a monthly progress report by the Telecommunication Engineer.
  5. All payments are subject to applicable withholding tax under the tax code of the Democratic Republic of the Congo. The supplier shall provide all necessary tax identification documents registered in DR Congo Kinshasa.

Qualification Requirement: The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Telecommunications Engineering, Electronics Engineering, or a closely related discipline, and possess no fewer than eight (8) years of progressive experience in large-scale network deployment in African markets. A valid professional license recognized by the ARPTC in DR Congo Kinshasa is mandatory.
  2. Compliance: All work shall comply with the telecommunications regulations of the Democratic Republic of the Congo, the technical standards set forth by the ARPTC, and applicable international standards (ITU-T, 3GPP). The Telecommunication Engineer shall ensure full regulatory compliance for all infrastructure deployed in DR Congo Kinshasa.
  3. Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Telecommunication Engineer and all supporting personnel operating in DR Congo Kinshasa for the full duration of this Purchase Order.
  4. Intellectual Property: All technical designs, network architectures, and documentation produced by the Telecommunication Engineer specifically for this Purchase Order shall become the exclusive property of the Buyer upon full payment.
  5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall compensate the supplier for all work completed and materials procured up to the termination date. Termination for cause (material breach, failure to meet performance milestones) may be effected with seven (7) days' notice.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Kinshasa, DR Congo Kinshasa. The governing law shall be the laws of the Democratic Republic of the Congo.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed restrictions, or pandemics affecting operations in DR Congo Kinshasa.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, network topologies, and commercial terms disclosed under this Purchase Order for a period of five (5) years following completion of all services.

This Purchase Order becomes effective upon signature by both authorized representatives. The Telecommunication Engineer shall not commence any fieldwork in DR Congo Kinshasa prior to the formal acceptance of this document and the receipt of the advance payment.
