All work shall comply with the National Communications Authority (NCA) of Ethiopia regulations and the Ethiopian Telecommunications Proclamation No. 1124/2019.

1. This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Telecommunication Engineer services exclusively within the geographic boundaries of Ethiopia Addis Ababa, unless otherwise agreed in writing.
2. The Supplier shall ensure that the assigned Telecommunication Engineer possesses all necessary professional licenses, certifications, and insurance coverage required by Ethiopian law and the National Communications Authority of Ethiopia prior to commencing any fieldwork.
3. All Telecommunication Engineer personnel deployed under this Purchase Order shall adhere to the health, safety, and environmental standards set forth by the Ministry of Innovation and Technology of Ethiopia and the local Addis Ababa City Administration regulations.
4. Payment shall be processed via bank transfer to the Supplier's designated account in an Ethiopian commercial bank within thirty (30) calendar days of receipt of a valid invoice and completion certification for each milestone.
5. The Supplier shall submit a detailed project schedule, resource allocation plan, and risk mitigation strategy within seven (7) business days of the acceptance of this Purchase Order.
6. Any changes in scope, additional Telecommunication Engineer personnel, or modifications to the project timeline in Ethiopia Addis Ababa must be documented through a formal Change Order signed by both parties before implementation.
7. The Supplier warrants that all Telecommunication Engineer services shall be performed in a professional, workmanlike manner in accordance with industry best practices and applicable Ethiopian telecommunications standards (ET-Telecom specifications).
8. In the event of non-performance or breach of this Purchase Order, the Purchasing Party reserves the right to terminate the agreement with fourteen (14) days' written notice and to recover any damages incurred as a result of the Supplier's failure to deliver the Telecommunication Engineer services as specified.
9. All intellectual property, technical documentation, and as-built records generated under this Purchase Order shall be the sole property of the Purchasing Party upon full payment.
10. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising hereunder shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the Ethiopian Arbitration and Conciliation Proclamation No. 1242/2021.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Telecommunication Engineer services in Ethiopia Addis Ababa. This document is valid for a period of fourteen (14) days from the date of issue, after which it shall be considered expired unless renewed in writing.
