This Purchase Order is issued by ProxTelecom Solutions SAS to procure the professional services of a qualified Telecommunication Engineer for deployment at our primary operations facility located in France Marseille. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the telecommunications infrastructure serving the Marseille metropolitan area, including but not limited to fiber-optic network backbones, 5G small-cell installations, microwave relay systems, and legacy copper-line migration projects.
The Telecommunication Engineer must hold a minimum of a Master's degree in Telecommunications Engineering or an equivalent qualification recognized by the French Ministry of Higher Education. A minimum of seven (7) years of progressive experience in telecommunications network engineering, with at least three (3) years specifically in the Provence-Alpes-Côte d'Azur region, is required. The candidate must demonstrate proficiency in the French regulatory framework governing telecommunications, including ANFR (Agence Nationale des Fréquences) compliance and ARCEP licensing requirements applicable to the France Marseille jurisdiction.

4. Terms and Conditions- Acceptance: This Purchase Order constitutes a binding offer. The supplier, TelecomExpert Consulting SARL, shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Commencement: The Telecommunication Engineer(s) shall report to the ProxTelecom Solutions facility at 12 Boulevard de la Corderie, 13007 Marseille, France, no later than 08:00 CET on 01 July 2025. The supplier is responsible for all travel, accommodation, and per diem expenses for personnel assigned to the France Marseille site.
- Duration: The engagement period for this Purchase Order is three (3) consecutive calendar months, from 01 July 2025 through 30 September 2025, unless extended by mutual written agreement.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) days of receipt of a valid invoice via SEPA bank transfer to the IBAN specified in Section 1. Late payments shall accrue interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
- Performance Standards: The Telecommunication Engineer shall adhere to all applicable French telecommunications standards (NF EN 301 908, NF C 90-310) and comply with the specific technical specifications outlined in Annex A of this Purchase Order. All work performed in France Marseille must meet or exceed the quality benchmarks established by ProxTelecom Solutions.
- Confidentiality: The supplier and all assigned Telecommunication Engineers shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All network topology data, customer information, and proprietary engineering documents related to the France Marseille operations are classified as confidential and shall not be disclosed to any third party.
- Health, Safety & Environment: The Telecommunication Engineer shall comply with all French occupational health and safety regulations (Code du travail) and ProxTelecom Solutions' internal HSE policies. Appropriate personal protective equipment (PPE) for telecommunications fieldwork in the France Marseille area shall be provided by the supplier.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the supplier shall be compensated for all work completed and materials procured up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or telecommunications regulatory changes affecting the France Marseille region.
