This Purchase Order is issued by Nexus Infrastructure Solutions Pvt. Ltd. to Apex Telecommunications Consulting LLP for the engagement of a qualified and experienced Telecommunication Engineer to provide specialized technical services at our operational site located in India Bangalore. The scope of work encompasses the design, implementation, testing, and commissioning of fiber-optic network infrastructure, 5G base station deployment, and legacy copper-line migration across a 12-kilometer corridor in the Whitefield and Electronic City sectors of India Bangalore.

The Telecommunication Engineer shall be responsible for the following deliverables:

1. This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon countersignature. All terms herein supersede any prior verbal or written correspondence regarding the engagement of the Telecommunication Engineer.
2. The Telecommunication Engineer shall possess a minimum of 8 years of post-qualification experience in telecom infrastructure, hold a B.E./B.Tech in Electronics & Communication Engineering, and maintain valid TRAI-registered contractor credentials for operations in India Bangalore.
3. Commencement of work is scheduled for 01 July 2025. The entire scope shall be completed within 180 calendar days from the commencement date, subject to weather and municipal clearance delays in India Bangalore.
4. Payment shall be made in monthly progress installments of 70% of the certified work value, with the remaining 30% released upon final acceptance and submission of all as-built documentation. Payments shall be processed via NEFT/RTGS to the Vendor's designated bank account within 30 days of invoice receipt.
5. The Vendor shall ensure that the Telecommunication Engineer and all supporting personnel comply with the Karnataka Shops and Commercial Establishments Act, the Factories Act, and all applicable labor laws governing employment in India Bangalore.
6. All materials, tools, and testing equipment (OTDR, power meters, spectrum analyzers) required for the execution of this Purchase Order shall be procured and maintained by the Vendor at its own cost unless otherwise specified in the Bill of Quantities.
7. The Vendor shall obtain all necessary No-Objection Certificates (NOCs) from the Bangalore Urban Development Authority (BUDA), Karnataka Electricity Board, and local municipal bodies prior to commencing civil works in India Bangalore.
8. Any variation in scope exceeding 10% of the total Purchase Order value shall require a written amendment signed by both parties. No additional work shall be undertaken without prior written authorization.
9. In the event of default or failure to meet milestones, the Buyer reserves the right to impose liquidated damages at a rate of 0.5% of the contract value per week of delay, up to a maximum of 10%.
10. This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
11. The Vendor shall maintain comprehensive third-party liability insurance and professional indemnity insurance with a minimum cover of INR 50,00,000 for the duration of the project in India Bangalore.
