This Purchase Order is issued by Apex Telecommunications Infrastructure Pvt. Ltd. (hereinafter referred to as the "Buyer") to Meridian Engineering & Consulting Services LLP (hereinafter referred to as the "Supplier") for the engagement of a qualified and experienced Telecommunication Engineer to provide specialized technical services across the India New Delhi metropolitan area. The Telecommunication Engineer shall be responsible for the design, deployment, testing, commissioning, and ongoing maintenance of fiber-optic networks, 5G base station infrastructure, microwave transmission links, and associated telecommunication systems within the India New Delhi operational zone.

- Acceptance: The Supplier shall acknowledge acceptance of this Purchase Order in writing within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order null and void.
- Qualification of the Telecommunication Engineer: The Telecommunication Engineer assigned under this Purchase Order must hold a B.E./B.Tech in Electronics & Communication Engineering or Telecommunication Engineering from an AICTE-approved institution in India. The Engineer must possess valid TRAI-recognized certifications and a minimum of ten (10) years of hands-on experience in 4G/5G and fiber-optic network deployment, preferably within the India New Delhi region.
- Work Location: All services under this Purchase Order shall be performed at project sites located within India New Delhi. The Telecommunication Engineer shall report to the Buyer's project office at Cyber Hub, Gurugram (India New Delhi NCR) on the first working day of each month for coordination meetings.
- Compliance: The Supplier and the Telecommunication Engineer shall comply with all applicable laws of India, including the Indian Telegraph Act, 1885, the Information Technology Act, 2000, TRAI regulations, and local municipal by-laws of the Government of India New Delhi. All environmental clearances for tower and fiber installations in India New Delhi shall be obtained prior to commencement of work.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 50% upon successful commissioning of all 5G base stations and fiber backbone in India New Delhi, and 20% upon completion of the warranty period. Invoices shall be submitted to the Buyer's accounts department in India New Delhi.
- Confidentiality: The Telecommunication Engineer shall treat all network architecture plans, customer data, and proprietary information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for work completed and verified up to the date of termination, as applicable under India New Delhi commercial law.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India New Delhi, and the arbitrator shall be appointed by mutual consent of both parties. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government orders affecting India New Delhi, or pandemics, provided written notice is given within 48 hours of the event.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Supplier's signed acceptance, constitutes the entire agreement between the parties regarding the engagement of the Telecommunication Engineer for the India New Delhi project and supersedes all prior negotiations, representations, or agreements.
