This Purchase Order is issued by Tehran Metropolitan Network Infrastructure Co. (TMNIC) to engage the services of a qualified Telecommunication Engineer through Persian Telecom Solutions Group (PTS Group) for the design, deployment, testing, and maintenance of next-generation telecommunications infrastructure across the Tehran metropolitan area. The Telecommunication Engineer shall be responsible for the following deliverables and responsibilities within the Iran Tehran operational zone:

4. Terms and Conditions- This Purchase Order constitutes a binding agreement between TMNIC and PTS Group for the provision of Telecommunication Engineer professional services exclusively within the geographic boundaries of Iran Tehran, including all 22 administrative districts of the Tehran metropolitan region.
- All Telecommunication Engineer personnel assigned under this Purchase Order must hold valid certifications recognized by the Iranian Telecommunication Regulatory Authority (IRIMO) and possess a minimum of five (5) years of documented experience in telecommunications infrastructure projects within Iran.
- The Telecommunication Engineer shall comply with all applicable Iranian national standards (ISIRI), telecommunications regulations, and municipal bylaws governing network construction and operation in Iran Tehran.
- Payment terms: Monthly invoicing in Iranian Rials (IRR), payable within thirty (30) calendar days of receipt of a valid invoice and written acceptance of deliverables by the TMNIC Project Director. Payment shall be made via bank transfer to the account designated by PTS Group.
- Any modification, extension, or cancellation of this Purchase Order must be executed in writing by both parties. Verbal agreements regarding the scope of Telecommunication Engineer duties in Iran Tehran shall not be enforceable.
- PTS Group shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Telecommunication Engineer staff operating in the Iran Tehran field sites throughout the contract period.
- Confidentiality: All network schematics, frequency allocations, customer data, and infrastructure plans related to the Telecommunication Engineer work in Iran Tehran are classified as proprietary information of TMNIC and shall not be disclosed to third parties without prior written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or regulatory changes affecting telecommunications operations in Iran Tehran.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Tehran International Arbitration Center, with proceedings conducted in the Persian language.
- This Purchase Order is governed by the Civil Code of the Islamic Republic of Iran and applicable telecommunications legislation.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Telecommunication Engineer services in Iran Tehran. This document becomes effective upon the signature of both authorized representatives.
