- Scope and Standards: The Telecommunication Engineer assigned under this Purchase Order shall hold a minimum of ten (10) years of documented experience in fiber-optic and wireless telecommunications infrastructure. All work performed in Japan Kyoto shall conform to JIS (Japanese Industrial Standards) telecommunications specifications and the applicable regulations of the Japan MIC.
- Delivery and Commencement: The Telecommunication Engineer shall report to the designated worksite in Japan Kyoto no later than 01 August 2025. Failure to commence within five (5) business days of the required date shall entitle the buyer to a penalty of 0.5% of the total Purchase Order value per day of delay.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of the installation phase in Japan Kyoto, and 30% upon final acceptance and sign-off of all deliverables. All payments shall be made via wire transfer to the supplier's designated account within fifteen (15) business days of invoice receipt.
- Warranty and Support: The supplier warrants that the Telecommunication Engineer shall provide a minimum of ninety (90) days of post-commissioning technical support for the Japan Kyoto network infrastructure. Any defects in workmanship discovered within this warranty period shall be rectified at no additional cost to the buyer.
- Confidentiality: All technical data, network schematics, and operational information pertaining to the Japan Kyoto facility shall be treated as strictly confidential. The Telecommunication Engineer shall sign a non-disclosure agreement prior to commencing work, and all documents shall be returned or securely destroyed upon project completion.
- Insurance and Liability: The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 50,000,000 JPY for the duration of the Telecommunication Engineer's engagement in Japan Kyoto. The supplier assumes full responsibility for any damage to existing infrastructure caused by the engineer's activities.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the supplier for all work completed and materials procured up to the date of termination, subject to a final audit.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from the engagement of the Telecommunication Engineer in Japan Kyoto shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Kyoto.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, government actions, or other events beyond reasonable control, provided that written notice is given within five (5) business days of the occurrence.
