3. Scope of Procurement — Telecommunication Engineer Services in Japan Osaka

This Purchase Order authorizes the procurement of professional services rendered by a certified Telecommunication Engineer who shall be physically deployed to the project site located in Japan Osaka. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of next-generation fiber-optic and 5G wireless network infrastructure across the Osaka metropolitan area. The scope includes but is not limited to: site surveys in Japan Osaka, equipment installation at carrier-grade data centers, RF optimization for mobile network coverage, integration with existing Japanese telecommunications carriers (NTT Docomo, KDDI, SoftBank), and compliance with the Radio Act of Japan and MIC (Ministry of Internal Affairs and Communications) regulations. 5. Terms and Conditions
  1. Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 30% upon successful completion of the first six (6) months of the Telecommunication Engineer's engagement in Japan Osaka, and the remaining 30% upon final project acceptance and commissioning sign-off. All payments shall be made via wire transfer to the account designated by the Supplying Party.
  2. Performance Standards: The Telecommunication Engineer shall adhere to all applicable Japanese telecommunications regulations, including the Radio Act, the Telecommunications Business Act, and all guidelines issued by the Ministry of Internal Affairs and Communications (MIC) in Japan Osaka. Failure to meet performance benchmarks as defined in the attached Statement of Work shall result in a formal cure notice with a 30-day remediation period.
  3. Intellectual Property: All designs, network architectures, configuration documents, and engineering deliverables produced by the Telecommunication Engineer during the term of this Purchase Order while working in Japan Osaka shall be the exclusive property of the Purchasing Party.
  4. Confidentiality: The Telecommunication Engineer and the Supplying Party agree to maintain strict confidentiality regarding all proprietary network data, customer information, and infrastructure details encountered during operations in Japan Osaka. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplying Party shall ensure an orderly transition of the Telecommunication Engineer's responsibilities in Japan Osaka, including knowledge transfer to a successor engineer.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Telecommunication Engineer's services in Japan Osaka shall be subject to the exclusive jurisdiction of the Osaka District Court.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters (including earthquakes, typhoons, or volcanic activity common to Japan Osaka), government actions, or other events beyond reasonable control.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Telecommunication Engineer services in Japan Osaka. This Purchase Order becomes effective upon the last signature and remains valid until the completion of all deliverables or until terminated in accordance with Section 5.
