This Purchase Order is issued to procure the professional services of a qualified Telecommunication Engineer to be deployed and stationed in Kazakhstan Almaty for the duration specified in Section 1. Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via irrevocable letter of credit or wire transfer to the Supplier's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month, calculated from the due date until the date of actual payment.

1. Qualifications: The Telecommunication Engineer assigned under this Purchase Order must hold a minimum of ten (10) years of progressive experience in telecommunications infrastructure, possess a recognized professional certification (e.g., CCNP, CCIE, or equivalent), and demonstrate prior project experience in Central Asian or CIS markets. The Telecommunication Engineer must be proficient in both English and Russian to facilitate effective communication with local authorities and subcontractors in Kazakhstan Almaty.
2. Compliance: The Supplier shall ensure that the Telecommunication Engineer complies with all applicable laws, regulations, and licensing requirements of the Republic of Kazakhstan, including but not limited to the Law on Telecommunications, the Law on Foreign Workers, and all municipal regulations of the city of Almaty. The Supplier is solely responsible for obtaining and maintaining all necessary work visas, residence permits, and professional registrations for the Telecommunication Engineer in Kazakhstan Almaty.
3. Insurance: The Supplier shall maintain comprehensive professional liability insurance, workers' compensation, and personal accident insurance covering the Telecommunication Engineer for the full duration of the engagement in Kazakhstan Almaty, with a minimum coverage of USD 2,000,000 per occurrence.
4. Confidentiality: All technical data, network schematics, customer information, and proprietary materials exchanged in connection with this Purchase Order shall be treated as strictly confidential. The Telecommunication Engineer shall sign a non-disclosure agreement (NDA) prior to commencing any work in Kazakhstan Almaty.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall complete all in-progress work and deliver all documentation related to the Telecommunication Engineer's activities in Kazakhstan Almaty.
6. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through negotiation in good faith. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration under the rules of the International Arbitration Center of the Astana International Financial Centre, with the seat of arbitration in Kazakhstan Almaty. The language of arbitration shall be English.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, epidemics, or war. The affected party shall notify the other within five (5) business days of the occurrence of such event.
8. Intellectual Property: All designs, documentation, and deliverables produced by the Telecommunication Engineer specifically for AIN JSC under this Purchase Order shall become the exclusive property of AIN JSC upon full payment. The Supplier retains ownership of pre-existing methodologies and tools.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer in Kazakhstan Almaty. This Purchase Order constitutes a binding commercial agreement upon execution by both authorized representatives.
