3.1 This Purchase Order constitutes a binding agreement between Meridian Networks Sdn. Bhd. and Apex Telecom Solutions (M) Sdn. Bhd. upon countersignature by both parties. All services described herein shall be performed by a certified Telecommunication Engineer or a team of Telecommunication Engineers holding valid credentials recognized by the Malaysian Communications and Multimedia Commission (MCMC) and the Malaysian Qualifications Agency (MQA).

3.2 The Telecommunication Engineer shall comply with all applicable regulations, standards, and safety protocols governing telecommunications infrastructure in Malaysia Kuala Lumpur, including but not limited to the Communications and Multimedia Act 1998, the Electrical Equipment (Safety) Regulations 2011, and local by-laws of the Kuala Lumpur City Hall (DBKL).

3.3 The vendor shall ensure that the assigned Telecommunication Engineer possesses a minimum of eight (8) years of professional experience in 5G network deployment, fiber-optic systems, and RF engineering. A copy of the Telecommunication Engineer's professional certification, CPE registration, and relevant project portfolio shall be submitted to the buyer prior to commencement of work.

3.4 All work shall be carried out at the designated project sites within Malaysia Kuala Lumpur. The vendor is responsible for obtaining all necessary permits, access clearances, and local authority approvals required to conduct telecommunications works in the Malaysia Kuala Lumpur metropolitan area.

3.5 Payment shall be made in three (3) milestone installments: 30% upon project mobilization and site access confirmation, 40% upon successful commissioning and KPI validation at all Malaysia Kuala Lumpur sites, and 30% upon completion of the 12-month maintenance period and final handover documentation.

3.6 The Telecommunication Engineer shall provide weekly progress reports every Friday and monthly technical summaries. Any deviation from the approved project timeline exceeding five (5) working days shall incur a liquidated damages penalty of MYR 5,000 per day, subject to a maximum cap of 10% of the total contract value.

3.7 This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC).

3.8 The vendor warrants that all Telecommunication Engineer services rendered shall be free from defects in workmanship and design for a period of twenty-four (24) months from the date of final acceptance. Any latent defects discovered within this warranty period shall be rectified at the vendor's sole cost.
