2. SCOPE OF WORK – TELECOMMUNICATION ENGINEER SERVICES

This Purchase Order is issued by Atlas Telecom Infrastructure S.A. to Sahara Network Solutions Ltd. for the provision of qualified Telecommunication Engineer professional services to be performed at the buyer's operational facilities located in Morocco Casablanca. The Telecommunication Engineer shall be responsible for the design, installation, testing, commissioning, and ongoing maintenance of fiber-optic network infrastructure, 5G base station equipment, and associated telecommunication systems across the Casablanca metropolitan area. The Telecommunication Engineer must hold a minimum of five (5) years of documented experience in telecommunications infrastructure projects and possess valid certifications recognized by the Agence Nationale de Réglementation des Télécommunications (ANRT) of Morocco.

4. TERMS AND CONDITIONS
  1. Service Location: All Telecommunication Engineer services under this Purchase Order shall be executed at the buyer's designated sites within Morocco Casablanca, including but not limited to the districts of Maârif, Ain Diab, Sidi Maârouf, and the Casablanca Finance City (CFC) zone.
  2. Commencement: The Telecommunication Engineer team shall mobilize to the Morocco Casablanca site no later than 01 July 2025. A site access briefing will be conducted on 28 June 2025 at the buyer's headquarters.
  3. Payment Terms: Payment shall be made in three (3) equal installments: 40% upon acceptance of this Purchase Order, 40% upon completion of the installation and commissioning phase, and 20% upon successful completion of the 12-month maintenance period. All payments shall be processed via bank transfer to the supplier's account in MAD (Moroccan Dirham).
  4. Compliance: The Telecommunication Engineer and all supporting personnel must comply with Moroccan telecommunications regulations as enforced by the ANRT, as well as all local labor laws applicable in Morocco Casablanca. Valid work permits and professional registration certificates must be presented prior to site access.
  5. Quality Assurance: All work performed by the Telecommunication Engineer shall meet or exceed the technical specifications outlined in Annex A of this Purchase Order. Non-conforming work shall be rectified at the supplier's sole expense within five (5) business days of written notice.
  6. Insurance: The supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Telecommunication Engineer personnel operating in Morocco Casablanca for the full duration of this contract.
  7. Confidentiality: The Telecommunication Engineer shall treat all network topology data, customer information, and proprietary system designs as strictly confidential. A Non-Disclosure Agreement (NDA) is attached as Annex B and is incorporated into this Purchase Order by reference.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all Telecommunication Engineer services rendered up to the effective date of termination.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes shall be resolved through the competent commercial courts of Morocco Casablanca.
  10. Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
5. DELIVERY AND ACCEPTANCE

The supplier shall submit a detailed project timeline and resource allocation plan for the Telecommunication Engineer team within five (5) business days of Purchase Order acceptance. All deliverables, including as-built drawings, test reports, and ANRT compliance documentation, shall be submitted in both Arabic and French as required by Moroccan regulatory standards. Final acceptance of the Telecommunication Engineer's work shall be confirmed in writing by the buyer's Technical Director after a joint inspection at the Morocco Casablanca site.
