1. Scope of Engagement: The Supplier shall assign qualified and certified Telecommunication Engineer personnel to carry out all tasks specified in this Purchase Order. All Telecommunication Engineer staff must hold valid Dutch or EU-recognised certifications in telecommunications engineering, including but not limited to BNG (Beroepsgroep Netwerk- en Geoinformatiek) accreditation and relevant safety certifications for working at height and in confined spaces within the Netherlands Amsterdam municipal boundaries.
2. Place of Performance: All services under this Purchase Order shall be executed at the locations specified by the Purchaser within the municipality of Netherlands Amsterdam, including but not limited to the Zuidas business district, the Amsterdam-Noord industrial zone, and the residential quarters of Amsterdam-Oost and Amsterdam-West. The Telecommunication Engineer personnel shall comply with all local municipal regulations, traffic management plans, and noise ordinances applicable in Netherlands Amsterdam.
3. Delivery and Commencement: The Telecommunication Engineer team shall commence work no later than 1 July 2025. The full project duration is estimated at fourteen (14) calendar months, with interim milestones to be agreed upon in a separate Statement of Work annexed to this Purchase Order.
4. Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice by wire transfer to the Supplier's designated bank account in the Netherlands. Late payments shall accrue interest at the statutory Dutch rate as defined under Article 6:119a of the Dutch Civil Code.
5. Quality and Compliance: All Telecommunication Engineer work shall conform to the Dutch Telecommunications Act (Telecommunicatiewet), NEN-EN standards, and the technical specifications outlined in Annex A of this Purchase Order. The Purchaser reserves the right to inspect and test all work performed by the Telecommunication Engineer team at any reasonable time during the project.
6. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EUR 2,500,000 per occurrence and EUR 5,000,000 in aggregate, valid throughout the Netherlands, including the Netherlands Amsterdam region. The Supplier shall also carry employer's liability insurance (WAO/WIA) and general third-party liability insurance for all Telecommunication Engineer personnel.
7. Confidentiality and Data Protection: Both parties shall comply with the General Data Protection Regulation (GDPR) and the Dutch Implementation Act (UAVG). Any network topology data, client information, or technical documentation shared in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent.
8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Purchaser shall pay for all services rendered by the Telecommunication Engineer team up to the effective date of termination.
9. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or widespread telecommunications infrastructure failures affecting the Netherlands Amsterdam region.
