This Purchase Order is issued by Andes Telecom Infrastructure S.A.C. to formally request the professional services of a qualified Telecommunication Engineer to be deployed and rendered exclusively within the metropolitan area of Peru Lima. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of fiber-optic backbone networks, microwave transmission links, and 5G small-cell infrastructure across the districts of San Isidro, Miraflores, Surco, and La Molina in Peru Lima. The Telecommunication Engineer must hold a valid professional license issued by the Colegio de Ingenieros del Perú and possess a minimum of eight (8) years of documented experience in telecommunications infrastructure projects within Peru Lima or comparable urban environments in South America.

All services under this Purchase Order shall be performed within the administrative boundaries of Peru Lima, specifically in the districts listed in Section 1. The Telecommunication Engineer(s) assigned to this Purchase Order must be physically present at the designated Peru Lima work sites during standard business hours (Monday to Friday, 08:00 to 17:00 Peru time, PET/UTC-5). Any travel, lodging, or per-diem expenses incurred by the Telecommunication Engineer while working in Peru Lima shall be borne by the Supplier and are included in the unit prices stated above. The Supplier guarantees that the Telecommunication Engineer will comply with all applicable Peruvian labor regulations, occupational safety standards (Ley de Seguridad y Salud en el Trabajo, D.S. 005-2012-TR), and telecommunications regulations issued by OSIPTEL (Organismo Supervisor de la Inversión en Telecomunicaciones) for operations in Peru Lima.
4. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. The Supplier's acceptance of this Purchase Order confirms full understanding of all obligations related to the Telecommunication Engineer services in Peru Lima.
- The Telecommunication Engineer must submit a detailed work plan and schedule within five (5) business days of Purchase Order acceptance. The plan must align with the project milestones established for the Peru Lima telecommunications infrastructure upgrade.
- Payment shall be made in three (3) equal installments: 30% upon commencement of the Telecommunication Engineer's work in Peru Lima, 40% upon completion of field installation and commissioning, and 30% upon final acceptance of all deliverables and as-built documentation.
- The Supplier shall provide a minimum of thirty (30) days' written notice prior to any substitution of the assigned Telecommunication Engineer. Any replacement must meet or exceed the qualifications specified in this Purchase Order and must be pre-approved by the Buyer in writing.
- All intellectual property, technical drawings, network topologies, and documentation produced by the Telecommunication Engineer in the course of this Purchase Order shall become the exclusive property of the Buyer upon full payment.
- The Supplier shall maintain professional liability insurance with a minimum coverage of PEN 500,000 for the duration of the Telecommunication Engineer's engagement in Peru Lima.
- Disputes arising from this Purchase Order shall be resolved under the jurisdiction of the commercial courts of Peru Lima, in accordance with the Peruvian Civil Code and the Peruvian Commercial Code.
- This Purchase Order is governed by the laws of the Republic of Peru. Any amendments must be made in writing and signed by authorized representatives of both parties.
The Telecommunication Engineer shall commence work no later than 1 July 2025 at the primary project site located in San Isidro, Peru Lima. The Supplier is required to confirm the availability and deployment of the Telecommunication Engineer within three (3) business days of this Purchase Order's issuance. Failure to deploy the Telecommunication Engineer within the stipulated timeframe shall entitle the Buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
