This Purchase Order is issued by Philippine National Infrastructure Development Corporation (PNIDC) to Manila Telecom Solutions & Engineering Inc. (MTEI) for the engagement of a qualified Telecommunication Engineer to perform comprehensive network design, installation, commissioning, and maintenance services within the Philippines Manila metropolitan area. - Commencement and Duration: The Telecommunication Engineer services under this Purchase Order shall commence on July 1, 2025, and shall continue for a period of twelve (12) months, subject to satisfactory performance evaluation at the end of each quarter. All work shall be performed within the Philippines Manila metropolitan area unless otherwise authorized in writing by the Buyer.
- Qualification Requirements: The Telecommunication Engineer assigned to this Purchase Order must hold a valid Professional Regulation Commission (PRC) license as a Registered Telecommunication Engineer in the Philippines, possess a minimum of eight (8) years of relevant experience in fiber-optic and wireless network deployment, and be in good standing with the National Telecommunications Commission (NTC) of the Philippines Manila regulatory jurisdiction.
- Payment Terms: Payment shall be made within thirty (30) days from the date of receipt of a valid invoice. The Buyer shall release 20% upon contract execution, 40% upon completion of installation and commissioning at all Philippines Manila sites, 30% upon successful network performance testing, and 10% upon final handover and acceptance. All payments shall be made via bank transfer to the account designated by the Seller.
- Compliance and Permits: The Seller, through its Telecommunication Engineer, shall be solely responsible for obtaining all necessary permits, clearances, and regulatory approvals from the NTC, local government units in Philippines Manila, and any other applicable Philippine regulatory bodies prior to the commencement of any fieldwork.
- Workmanship and Standards: All Telecommunication Engineer services shall be performed in strict accordance with Philippine National Standards (PNS), NTC Technical Standards, and the specifications outlined in Annex A of this Purchase Order. Any work found to be substandard shall be rectified at the Seller's sole expense within five (5) business days.
- Confidentiality: The Telecommunication Engineer and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding all network architectures, subscriber data, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Seller, the Buyer may terminate immediately upon written notice. Upon termination, the Seller shall complete all work in progress at the Philippines Manila sites and deliver all documentation to the Buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through arbitration in Manila, Philippines Manila, in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters common to the Philippines Manila region such as typhoons, earthquakes, or government-mandated lockdowns.
