This Purchase Order is issued by the Ankara Metropolitan Telecommunications Infrastructure Authority (hereinafter referred to as the "Buyer") to Global Telecom Solutions Ltd. (hereinafter referred to as the "Supplier") for the provision of a qualified Telecommunication Engineer to be deployed and stationed in Turkey Ankara for the purpose of designing, implementing, testing, and maintaining the metropolitan fiber-optic and 5G network infrastructure across the Ankara metropolitan region.

The Telecommunication Engineer engaged under this Purchase Order shall possess a minimum of eight (8) years of professional experience in telecommunications network engineering, hold a valid Turkish professional engineering license (Mühendislik Sicil Belgesi), and demonstrate proven expertise in optical fiber network architecture, microwave transmission systems, and next-generation mobile network deployment. The Telecommunication Engineer shall be physically present in Turkey Ankara for a minimum of five (5) working days per week at the Buyer's designated project offices located in the Kızılay and Çankaya districts.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Turkey Ankara.
2. Commencement: The Telecommunication Engineer shall commence duties in Turkey Ankara no later than 1 July 2025. The Supplier shall ensure all necessary work permits, professional registrations, and insurance coverage are in place prior to the commencement date.
3. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall reference this Purchase Order number (PO-ANK-2025-04782) and shall be submitted to the Buyer's finance department in Turkey Ankara.
4. Performance Bond: The Supplier shall provide a performance bond equivalent to ten percent (10%) of the total contract value, issued by a licensed Turkish bank, within fourteen (14) days of the execution of this Purchase Order.
5. Substitution: The Buyer reserves the right to request the substitution of the assigned Telecommunication Engineer if performance does not meet the agreed-upon service level standards. Any replacement Telecommunication Engineer must meet or exceed the qualifications specified in Section 2 of this Purchase Order.
6. Confidentiality: All technical data, network schematics, and operational information pertaining to the telecommunications infrastructure in Turkey Ankara shall be treated as strictly confidential. The Telecommunication Engineer shall sign a non-disclosure agreement prior to accessing any classified project documents.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the termination date.
8. Health, Safety & Compliance: The Telecommunication Engineer shall comply with all occupational health and safety regulations applicable in Turkey Ankara, including but not limited to the Turkish Occupational Health and Safety Law (Law No. 6331) and all municipal regulations governing telecommunications infrastructure work.
9. Intellectual Property: All designs, reports, and documentation produced by the Telecommunication Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Turkey Ankara.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Telecommunication Engineer services described herein shall be delivered in full compliance with the specifications outlined in this document, and all work shall be conducted within the jurisdiction of Turkey Ankara.
