This Purchase Order is issued to formally engage a qualified Telecommunication Engineer to provide specialized technical services for the design, deployment, and commissioning of a next-generation fiber-optic and 5G network infrastructure project located in Turkey Istanbul. The Telecommunication Engineer assigned under this Purchase Order must hold a minimum of a Master's degree in Telecommunications Engineering, Electrical Engineering, or a closely related discipline from an accredited institution. The engineer shall possess a minimum of ten (10) years of progressive experience in the design and implementation of large-scale telecommunication networks, with at least three (3) years of direct experience working on projects within Turkey or the broader Middle East and North Africa (MENA) region. The Telecommunication Engineer must be fluent in both English and Turkish, as all technical documentation, site communications, and regulatory filings in Turkey Istanbul require bilingual proficiency. Additionally, the engineer must hold a valid professional engineering license recognized by the Turkish Chamber of Engineers (TMMOB) and demonstrate familiarity with the regulatory framework of the Turkish Telecommunications Authority (BTK).

The commencement date for all services under this Purchase Order shall be 1 July 2025. The Telecommunication Engineer shall mobilize to the Turkey Istanbul project site no later than 5 July 2025. The overall project duration is estimated at fourteen (14) calendar months, with the following key milestones:

• Milestone 1: Completion of site survey and feasibility report – 30 September 2025
• Milestone 2: Submission of detailed engineering design package – 31 December 2025
• Milestone 3: Completion of physical installation and cabling – 30 June 2026
• Milestone 4: Commissioning, testing, and BTK regulatory approval – 30 September 2026
• Milestone 5: Final acceptance and handover – 31 October 2026

Payment under this Purchase Order shall be made in Euro (EUR) via international wire transfer to the Supplier's designated bank account. The payment schedule is structured as follows: twenty percent (20%) upon execution of this Purchase Order; thirty percent (30%) upon completion of Milestone 2 (design package approval); thirty percent (30%) upon completion of Milestone 3 (installation); and the remaining twenty percent (20%) upon final acceptance at Milestone 5. All invoices must be submitted in triplicate and shall be payable within thirty (30) calendar days of receipt. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Turkish commercial law (Türk Ticaret Kanunu, Article 30).

6.1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Centre (ISTAC).

6.2. The Supplier warrants that the Telecommunication Engineer assigned to this project shall comply with all applicable Turkish labor laws, occupational health and safety regulations (İş Sağlığı ve Güvenliği Kanunu), and telecommunications industry standards as enforced by the BTK in Turkey Istanbul.

6.3. The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EUR 2,000,000 for the duration of the project. Certificates of insurance shall be provided to the Buyer prior to the commencement of on-site activities in Turkey Istanbul.

6.4. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Supplier, including but not limited to failure to meet critical milestones, gross negligence by the Telecommunication Engineer, or non-compliance with Turkish regulatory requirements.

6.5. All intellectual property, technical drawings, network schematics, and documentation produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Telecommunication Engineer shall not reuse, reproduce, or disclose any project-specific information pertaining to the Turkey Istanbul deployment without prior written consent.

6.6. Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting the Turkey Istanbul region, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within seven (7) days of occurrence.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer for the infrastructure project in Turkey Istanbul. This document constitutes a binding agreement upon countersignature by both authorized representatives.
