This Purchase Order is issued by the Buyer to formally engage the Seller for the provision of a qualified Telecommunication Engineer to deliver specialized technical services within the jurisdiction of United Arab Emirates Abu Dhabi. The Telecommunication Engineer shall be responsible for the design, implementation, testing, and commissioning of fiber-optic backbone networks, 5G small-cell deployments, and integrated IP-MPLS transport infrastructure across the designated project sites in Abu Dhabi. The Telecommunication Engineer must hold a minimum of eight (8) years of progressive experience in telecommunications infrastructure projects and possess valid certifications including but not limited to CCNP Service Provider, JNCIA-Junos, and ITIL v4 Foundation. The Telecommunication Engineer shall also be required to hold a valid UAE professional license issued by the Abu Dhabi Department of Economic Development (DED) and a current Emirates ID.

All amounts are stated in United Arab Emirates Dirhams (AED). Applicable 5% Value Added Tax (VAT) as per UAE Federal Tax Authority regulations shall be added to the total contract value, bringing the grand total to AED 635,250.00.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the Abu Dhabi Emirate commercial regulations. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
2. Commencement and Duration: The Telecommunication Engineer shall commence duties no later than 1 July 2025 at the Buyer's designated project offices located in Al Reem Island, Abu Dhabi. The total engagement period shall be eleven (11) months, subject to extension by mutual written agreement.
3. Payment Terms: The Buyer shall issue payment within thirty (30) calendar days of receipt of a valid tax invoice from the Seller. Invoices shall be submitted on a monthly basis. Late payments shall attract interest at the rate of 1.5% per month as stipulated under UAE commercial law.
4. Work Authorization and Visa: The Seller shall ensure that the Telecommunication Engineer holds a valid UAE work permit, professional visa, and Emirates ID prior to the commencement date. All visa and permit costs are included in the rates specified in Section 3 of this Purchase Order.
5. Confidentiality: The Telecommunication Engineer shall treat all project data, network topologies, and client information as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years in compliance with UAE Federal Decree-Law No. 46 of 2021 on the Protection of Personal Data.
6. Health, Safety, and Environment (HSE): The Telecommunication Engineer shall comply with all HSE regulations enforced by the Abu Dhabi Occupational Safety and Health Center (ADOSH) and the relevant municipal authorities in Abu Dhabi, United Arab Emirates.
7. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Termination shall not affect accrued payment obligations.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics, as defined under UAE law.
9. Intellectual Property: All designs, documentation, and deliverables produced by the Telecommunication Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
10. Anti-Bribery and Compliance: The Seller warrants that no part of the fees under this Purchase Order shall be used for any purpose that violates UAE anti-corruption legislation, including Federal Decree-Law No. 20 of 2016 on Anti-Money Laundering.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Telecommunication Engineer in United Arab Emirates Abu Dhabi. This Purchase Order supersedes all prior negotiations, letters of intent, and preliminary agreements between the parties regarding the subject matter herein.
