The Telecommunication Engineer shall be a licensed professional registered with the Telecommunications and Digital Government Regulatory Authority (TDRA) of the United Arab Emirates and shall hold a minimum of ten (10) years of progressive experience in fiber-optic network deployment, 5G base station installation, microwave link configuration, and IP-based voice-over-IP (VoIP) system architecture.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Commencement: The Telecommunication Engineer shall mobilize to the project site in United Arab Emirates Dubai no later than 20 June 2025. All work shall be performed in strict accordance with the approved project schedule and TDRA technical standards.
- Payment Schedule: The Buyer shall remit payment in three (3) installments: 30% upon execution of this Purchase Order, 40% upon successful completion and acceptance of Line Items 01 through 03, and 30% upon completion of the 12-month maintenance period (Line Item 04). All invoices shall be submitted in AED and shall include a valid Tax Invoice compliant with the Federal Tax Authority of the United Arab Emirates.
- Quality and Compliance: All deliverables produced by the Telecommunication Engineer must conform to ITU-T, ETSI, and TDRA specifications. The Buyer reserves the right to conduct independent third-party testing at the Supplier's expense if performance benchmarks are not met.
- Insurance and Liability: The Supplier shall maintain professional indemnity insurance of not less than AED 5,000,000 and public liability insurance of not less than AED 10,000,000 for the duration of this Purchase Order. The Telecommunication Engineer shall be fully liable for any damage to existing infrastructure caused during the course of work in United Arab Emirates Dubai.
- Confidentiality: The Supplier and the assigned Telecommunication Engineer shall treat all network topologies, IP addressing schemes, customer data, and proprietary system designs as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the termination date. In the event of termination for material breach, the non-breaching party shall be entitled to full compensation for losses incurred.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC) in United Arab Emirates Dubai. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to acts of God, war, terrorism, government sanctions, or epidemics, provided that the affected party notifies the other in writing within forty-eight (48) hours.
- Subcontracting: The Supplier shall not subcontract any portion of the Telecommunication Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
