- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and the applicable international commercial arbitration rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Tashkent, Uzbekistan.
- Payment Terms: Payment shall be made in United States Dollars (USD) via international wire transfer to the supplier's designated bank account. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in monthly installments upon verified completion of each milestone as outlined in the Scope of Work.
- Commencement Date: The Telecommunication Engineer shall commence on-site duties in Tashkent, Uzbekistan no later than 1 August 2025. Any delay beyond this date shall incur a penalty of 0.5% of the monthly fee per calendar day of delay.
- Work Location: All services under this Purchase Order shall be performed at the project sites located within the administrative boundaries of Tashkent city, Uzbekistan, including but not limited to the districts of Chilonzor, Yakkasaroy, Mirzo Ulugbek, and Yunusobod.
- Visa and Work Permit: The Buyer shall facilitate and bear the cost of a valid work visa and residence permit for the Telecommunication Engineer in Uzbekistan. The Supplier shall provide all necessary supporting documents within ten (10) business days of this Purchase Order's issuance.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident insurance covering the Telecommunication Engineer for the full duration of the engagement in Tashkent, Uzbekistan, with a minimum coverage of USD 500,000.
- Confidentiality: All network schematics, customer data, and proprietary information encountered during the execution of this Purchase Order shall remain strictly confidential. The Telecommunication Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Tashkent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all work completed and verified up to the termination date.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Uzbekistan.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation for a period of thirty (30) days. If unresolved, the matter shall be referred to binding arbitration in Tashkent, Uzbekistan.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Telecommunication Engineer in Tashkent, Uzbekistan.
